About The Position

Ulliman Schutte Construction, LLC is seeking an in-house General Counsel based in its Miamisburg, Ohio office. The General Counsel will serve as the company’s chief legal officer and a trusted advisor to the company and its ownership, managing legal affairs for Ulliman Schutte, its construction subsidiary, and its affiliated real estate company. The role may occasionally assist company owners with personal legal matters and estate planning.

This is a senior leadership role for a hands-on lawyer and the company’s sole in-house counsel. The General Counsel works directly with executives, project teams, and owners, handling both routine contract questions and high-stakes transactions and disputes. The position personally drafts, negotiates, and reviews contracts; manages risks and claims; handles employment matters; and advises management. It is a business-partner role supporting operations, preconstruction, finance, risk management, and HR to help the company pursue work on sound terms, perform profitably, and protect the enterprise. The General Counsel also selects, manages, and budgets for outside counsel as needed.

Ulliman Schutte has been in business for approximately 30 years and is a national leader in constructing water and wastewater treatment plants, pump stations, and other water quality infrastructure projects. Projects range in cost from $10 million to $500 million, with work performed under traditional design-bid-build, design-build, CM at-risk, and other alternative delivery models. Annual revenue is approximately $400 million, and the company is growing and profitable.

Requirements

• Be a hands-on lawyer comfortable working directly with executives, project teams, and company owners.
• Be able to handle day-to-day contract questions as well as high-stakes transactions and disputes.
• Have experience selecting, managing, and budgeting for outside counsel.

Responsibilities

• Manage the legal affairs of Ulliman Schutte, its construction subsidiary, and its affiliated real estate company.
• Serve as chief legal officer and trusted legal advisor to the company and its ownership.
• Occasionally assist company owners with personal legal matters and estate planning.
• Personally draft, negotiate, and review prime contracts, subcontracts, and purchase order agreements.
• Manage legal risks and resolve claims.
• Handle employment matters and advise management.
• Partner with operations, preconstruction, finance, risk management, and HR to support sound contracting, profitable project performance, and protection of the enterprise.
• Select, manage, and budget for outside counsel as needed.
