About The Position

CTG is seeking to fill a General Counsel position. This role provides strategic legal counsel to executive leadership and business stakeholders on legal, business, and operational matters. The General Counsel will serve as Corporate Secretary, attend Board of Directors and committee meetings, and develop and maintain corporate policies, procedures, and programs while advising on their legal implications. Key responsibilities include advising on major business transactions, leading contract management activities, evaluating contractual and commercial risks, and partnering with various internal teams on strategic initiatives. The role also involves advising Human Resources and leadership on employment and labor law, overseeing corporate immigration programs, drafting subcontract documents, managing outside counsel, and supporting regulatory compliance, corporate governance, enterprise risk management, and dispute resolution activities. Other responsibilities may be assigned.

Requirements

  • Juris Doctor (J.D.) degree from an accredited law school required.
  • Admission to a U.S. state bar and ability to maintain active licensure required.
  • Excellent verbal and written English communication skills and the ability to interact professionally with a diverse group are required.
  • Strong knowledge of corporate, commercial, employment, labor, and regulatory law.
  • Excellent contract drafting, negotiation, and risk assessment skills.
  • Strong business judgment and ability to balance legal requirements with commercial objectives.
  • Excellent communication, negotiation, analytical, and problem-solving skills.
  • Ability to work effectively with executive leadership and cross-functional teams.
  • Strong organizational skills with the ability to manage multiple priorities and high-impact matters.
  • Ability to manage outside counsel and effectively oversee complex legal matters.
  • Extensive experience providing legal counsel in a corporate or business environment.
  • Experience leading contract negotiations and managing complex commercial agreements.
  • Experience advising executive leadership and business teams on strategic legal matters.
  • Experience with employment and labor law, corporate governance, regulatory compliance, and risk management.

Nice To Haves

  • Experience supporting mergers and acquisitions, divestitures, joint ventures, financing, or other significant corporate transactions preferred.
  • Experience managing outside counsel and immigration programs preferred.

Responsibilities

  • Provide strategic legal counsel to executive leadership and business stakeholders on legal, business, and operational matters.
  • Serve as Corporate Secretary and attend Board of Directors and committee meetings.
  • Develop and maintain corporate policies, procedures, and programs while advising on their legal implications.
  • Advise on major business transactions, including acquisitions, divestitures, joint ventures, financing, and corporate structure.
  • Lead contract management activities, including drafting, reviewing, negotiating, and approving customer agreements, vendor and subcontractor contracts, RFPs/RFQs, proposals, and other legal documents.
  • Evaluate contractual and commercial risks, negotiate favorable terms, and ensure agreements align with business objectives and minimize organizational exposure.
  • Partner with Sales, Business Development, Finance, and operational teams on pricing strategies, proposals, project reviews, contract negotiations, and business initiatives.
  • Advise Human Resources and leadership on employment and labor law, workplace policies, employee relations, investigations, accommodations, disciplinary actions, terminations, and regulatory compliance.
  • Oversee corporate immigration programs and assist foreign nationals with immigration-related procedures.
  • Draft subcontract documents incorporating applicable prime contract requirements while protecting the company's legal and operational interests.
  • Manage the selection, retention, and performance of outside counsel and coordinate legal matters requiring external representation.
  • Support regulatory compliance, corporate governance, enterprise risk management, and dispute resolution activities.
  • Perform other responsibilities as assigned.
