About The Position

Gimlet is building the next generation of AI infrastructure, focusing on large-scale AI datacenters and the orchestration platform that coordinates them. The future of AI requires significantly more compute, and Gimlet's platform is designed to make diverse hardware work together efficiently. It intelligently partitions and routes workloads across heterogeneous hardware, leading to improvements in performance and efficiency. Customers can deploy through production-grade APIs without needing to manage hardware selection, placement, or optimization. Gimlet collaborates with foundation labs, hyperscalers, and AI-native companies to power production workloads at scale and shape the infrastructure layer for AI's future. This role is for a pragmatic, execution-oriented General Counsel who will establish the legal and commercial foundation for Gimlet as the company scales its infrastructure deployments, strategic partnerships, financing activities, and enterprise customer relationships. The General Counsel will be a key strategic partner to the leadership team, guiding them through complex commercial negotiations involving multi-party deal structures, competing IP interests, infrastructure agreements, financing arrangements, and evolving AI regulatory landscapes. A significant challenge of this role will be managing Gimlet's most critical deals, which often involve three or more parties with layered commercial, technical, and ownership considerations.

Requirements

  • 10+ years of legal experience, including meaningful experience in technology, infrastructure, cloud, AI, hardware, or related industries.
  • Strong experience negotiating complex commercial agreements, strategic transactions, and multi-party deal structures.
  • Ability to navigate competing commercial, technical, IP, and risk considerations across multiple stakeholders.
  • Experience operating in high-growth, dynamic, or highly technical environments.
  • Practical, solutions-oriented judgment with the ability to balance execution speed, risk management, and business outcomes.
  • Experience managing outside counsel and partnering effectively with external advisors.
  • Excellent communication, negotiation, and relationship-building skills.
  • JD from an accredited law school and active membership in at least one U.S. state bar.

  • Experience at a hyperscaler, neocloud, AI infrastructure company, semiconductor company, or high-growth infrastructure startup.
  • Familiarity with data center infrastructure, cloud platforms, AI compute, or hardware supply chains.
  • Experience negotiating large-scale infrastructure, procurement, financing, or strategic partnership agreements.
  • Background working with hardware vendors, cloud providers, AI platform companies, or enterprise technology customers.
  • Experience building or leading an in-house legal function at a scaling company.
  • Track record of reducing reliance on outside counsel by building internal processes, playbooks, templates, and legal operating discipline.

Responsibilities

  • Lead legal strategy and execution across commercial, corporate, financing, infrastructure, regulatory, and operational matters.
  • Negotiate and manage complex multi-party agreements with customers, infrastructure providers, hardware vendors, financing partners, and strategic partners.
  • Structure and advise on deals involving three or more parties, competing IP interests, layered commercial arrangements, and cross-functional execution requirements.
  • Support data center, supply chain, hardware procurement, and infrastructure deployment initiatives.
  • Partner with leadership on financing activities, corporate governance, strategic transactions, and company-building matters.
  • Manage outside counsel effectively, using external support where specialized expertise is needed while building internal legal capability and driving repeatable work in-house over time.
  • Develop scalable legal processes, templates, policies, and risk management practices as Gimlet grows.
  • Advise on IP, regulatory, compliance, and commercial issues related to AI infrastructure, cloud platforms, and compute ecosystems.
  • Work cross-functionally with engineering, operations, finance, and go-to-market teams to enable rapid, thoughtful execution.
