About The Position

Join our leadership team as General Counsel and Risk Manager, where you will serve as a key advisor to executive leadership, providing strategic legal oversight while leading the organization’s legal and risk management functions to support compliant, effective business operations. The General Counsel and Risk Manager position will advise the Executive team and other staff members regarding legal issues and matters that arise in the course of business. The General Counsel will also serve in a dual role as the Manager for the legal and risk departments. Requirements

  • Juris Doctor’s Degree with South Carolina law license in good standing required.
  • Have completed or be willing to complete SC Rule 403(b) requirements.
  • 5+ years of in-house corporate counsel experience.
  • 2+ years of risk management experience.
  • Proficiency in Microsoft Excel, Word, PowerPoint and legal research databases.
  • Ability to lead a team and communicate effectively throughout all levels across an organization.
  • Ability to prioritize workload, organize technical work and resources.
  • Ability to work independently, manage time and plan and implement objectives effectively.

Nice To Haves

  • Insurance claim management experience, preferred.

Responsibilities

  • Counsel on legal and risk matters (including project, corporate, and merger and acquisition risks) and advising throughout project pursuit and execution from contract negotiation to early identification and resolution of project risks.
  • Assist in satisfying applicable compliance and regulatory requirements and mitigating risks on a Company-wide basis.
  • Advise and counsel the Executive team and management on legal and business matters and risk issues.
  • Act as liaison with outside counsel as well as client representatives, vendors, subcontractors, and governmental agencies.
  • Assist in satisfying applicable compliance and regulatory requirements.
  • Develop policies and procedures to mitigate risks for the Company and business projects.
  • Evaluate the impact of existing and proposed regulations, court decisions, and law including any proposed changes in the law that might affect Company policies and operating procedures.
  • Act as a liaison for legal matters with the Employee Relations, Credit, Finance, Tax, Safety, Talent and Development, and Operations teams.
  • Review and advise on various contracts, leases, NDAs, and other corporate legal documents and make recommendations for modification, revision, and clarification of documents as needed.
  • Maintain and update standard documents and agreements for Company-wide use.
  • Prepare and maintain the legal department budget.
  • Develop risk assessments involving business activities and operation functions to adequately analyze and manage potential risk issues.
  • Manage the insurance relationship and processes, including claims management, on behalf of the Company.
  • Design and implement an overall risk management process for the organization, which includes an analysis of the financial impact on the Company when risks occur.
  • Collaborate with Employee Relations, Safety, and IT to create business continuity plans to limit risks.
  • Semiannually review all insurance plans to determine effectiveness and relevance to ensure the plans are sufficient and cost-effective.
  • Maintain records of insurance policies and claims.
  • Oversee claims and loss control activities.
  • Manage third-party insurance service providers, including brokers, insurers, claims administrators, and outside counsel.
  • Attend and support insurance-related legal actions, as necessary.
  • Prepare and maintain risk management and insurance budgets.
  • Other duties as assigned.
