About The Position

Orrick currently has an excellent opportunity for a Firm Corporate Counsel in any of our U.S. offices and consideration given for 100% remote US locations. The Role: Reporting to Orrick’s Corporate Deputy General Counsel, the Firm Corporate Counsel will work closely with other members of the Office of the General Counsel (“OGC”) to assist in managing the corporate legal affairs of the Firm. This includes drafting and reviewing a broad range of corporate documents and agreements; helping to prepare risk management policies, training materials, and templates; advising on complex issues relating to the use of AI; researching unique ethics issues; responding to client RFP and due diligence requests; and assisting with global compliance, corporate secretarial matters and risk management generally. The Firm Corporate Counsel is responsible for modeling and acting in accordance with Orrick's client service standards and core values.

Requirements

  • Juris Doctorate and current admission to a U.S. bar in good standing is required.
  • Minimum of two years of legal experience at a large firm, preferably in M&A or a corporate or transactional practice group.
  • Experience with application of various rules and codes of professional responsibility.
  • Ability to communicate and collaborate effectively with all levels of Firm staff and attorneys.
  • Creative and practical approach to solving problems that is informed by the Firm’s strategic, business, and professional needs.
  • Team-oriented with excellent interpersonal, communication, and counseling skills.
  • Strong organizational and analytical skills, coupled with excellent attention to detail.
  • Demonstrated commitment to maintaining the highest level of confidentiality, personal integrity, ethics, and dedication.
  • Flexibility in handling numerous responsibilities simultaneously and responding to ever-changing priorities.
  • Must be willing to work varied hours as needed (covering multiple time zones).
  • Some travel required.

  • Familiarity and interest in law firm use of AI tools strongly preferred.

Responsibilities

  • Assist the Corporate Deputy General Counsel with a wide array of tasks relating to the global legal affairs of the firm and strategic planning for risk management.
  • Draft and review a broad range of corporate documents for US and foreign offices.
  • Assist OGC and the Firm’s Risk Management Committee with administration of risk management policies, including assisting in drafting policies, alerts, and training materials for the Firm’s lawyers and staff.
  • Stay informed of updates to the rules of professional conduct, ethics opinions, and other legal developments, including with respect to the development and use of AI in the provision of legal services, and work with the OGC to provide education and alerts on these topics.
  • Assist in the development and implementation of AI strategy for the Legal Department and the Firm.
  • Assist with and maintain checklists for significant transactions involving the Firm and its structure.
  • Drive and manage multifaceted enterprise projects through completion.
  • Assist in creating and coordinating contract templates and playbooks.
  • Review client engagement agreements and outside counsel guidelines, local counsel engagement agreements, NDAs, “Kovel” agreements involving experts and consultants, and other agreements.
  • Assist with compliance, regulatory matters, and corporate filings, including with respect to the Firm’s offices in the US, the UK, France, Belgium, Germany, Italy, China, Singapore, and Japan.
  • Assist with corporate secretarial matters, including drafting and reviewing consents and documentation relating to governance of the Firm and its global affiliates.
  • Assist in responding to auditor, insurance, and client information requests, and responses to Requests for Proposals, client due diligence questionnaires, and similar inquiries.
  • Assist with matters relating to client relationships, client conflicts of interest, and client intake.
  • Assist in the development and implementation of strategic goals and specific projects for risk management.
