About The Position
The Senior Manager, Financial Due Diligence is responsible for leading financial due diligence engagements for prospective sellers and buyers participating in divestures, recapitalizations, mergers, and acquisitions. This role combines practice development, client relationship management, financial analysis, and technical accounting knowledge to support the broader Transaction Advisory group, accurately capture enterprise value, enhance the client experience, and help Nichols Cauley achieve its growth goals. The Manager, Financial Due Diligence serves as a trusted advisor throughout the entire transaction lifecycle, from inception through closing and beyond, by leading engagement teams, coordinating across disciplines, and communicating early, often, and honestly with clients regarding their transactions. This is both a hands-on role and a leadership position.
Requirements
- Bachelor’s degree in Accounting, Finance, or a related field.
- CPA designation.
- Seven to ten years of progressive experience in financial due diligence, transaction advisory, or similar consulting services within a public accounting, professional services, or business advisory firm.
- Demonstrated experience leading complex financial due diligence engagements.
- Strong understanding of US GAAP, financial reporting, the business and deal lifecycles, transaction structuring, and related topics.
- Proven experience managing client relationships and leading engagement teams.
- Excellent analytical, communication, presentation, and project management skills.
- Ability to manage multiple projects in a fast-paced and deadline-driven environment.

Responsibilities
- Support the firm’s business development initiatives through networking and industry events, thought leadership, and relationship building.
- Participate in proposal development, pricing discussions, and prospective client presentations.
- Contribute to firm strategies, service offerings, and process improvements.
- Continuously improve personal knowledge of and mentor team members on accounting standards, best practices, and industry trends.
- Serve as a primary point-of-contact for clients throughout the transaction lifecycle.
- Build and maintain relationships with attorneys, lenders, and others in the transactions space.
- Identify opportunities to expand and cross-sell additional service offerings.
- Participate in client meetings, proposal and report presentations, and transaction negotiations.
- Lead sell- and buy-side financial due diligence engagements across a variety of industries.
- Analyze historical financial information to evaluate and support quality of earnings, net working capital, indebtedness, cash flow, and other key financial metrics.
- Evaluate accounting policies, revenue recognition practices, EBITDA adjustments, and overall financial reporting quality.
- Identify accounting, financial, operational, business, industry, and other transaction risks that may impact enterprise value.
- Prepare comprehensive financial due diligence reports and present findings to clients as well as potential investors, lenders, and other stakeholders.
- Coordinate with audit, tax, legal, and other professionals throughout the transaction process.
- Manage multiple engagements simultaneously while ensuring timely delivery and exceptional client service.
- Ensure firm standards are maintained and reputational risk is minimized.
- Recruit, coach, mentor, and lead interns, associates, and senior associates.
- Review workpapers and deliverables to ensure technical accuracy and consistency.
- Manage engagement staffing, budgets, timelines, and profitability.
- Foster a collaborative, high-performance team culture focused on continuous learning and professional development.
