Cambrian Credit Union is seeking an Executive Assistant, Board & Corporate Governance to join our dynamic organization. The Executive Assistant, Board & Corporate Governance provides comprehensive administrative and governance support to the Board of Directors and its Committees. The role ensures effective board operations, adherence to governance best practices, and accurate maintenance of official corporate records, including high quality Board and Committee meeting minutes.

Requirements

  • 5+ years of experience supporting Boards of Directors or senior governance bodies
  • Demonstrated expertise in formal Board and Committee minute taking
  • Strong understanding of governance principles and fiduciary responsibilities
  • Exceptional written communication and document management skills
  • Advanced proficiency with Microsoft Office and virtual collaboration tools
  • Strong written and verbal communication skills
  • Creative thinker/ problem solver, with a member-centred approach and strong drive to continuously improve and add value to the business.
  • Confident working with diverse personalities; remains calm, tactful, and neutral.

Responsibilities

  • Coordinate all Board and Committee meetings, including scheduling, logistics, agendas, and meeting materials.
  • Serve as the primary administrative liaison between the Board of Directors, the CEO, and Senior Leadership.
  • Maintain annual Board calendars, work plans, and recurring governance cycles.
  • Support Board onboarding, orientation, and ongoing governance processes.
  • Take accurate, clear, and comprehensive minutes for Board and Committee meetings.
  • Prepare draft meeting minutes within established timelines and incorporate required revisions.
  • Maintain approved minutes and official governance records, including resolutions, bylaws, and policies.
  • Ensure governance records comply with organizational, legislative, and regulatory requirements.
  • Track Board and Committee decisions, motions, and related follow up actions.
  • Support governance processes related to Board elections, appointments, terms, and evaluations.
  • Maintain secure, confidential storage and controlled access to Board materials and records.
  • Support preparation and submission of governance related filings and documentation as required.
  • Act as Recording Secretary for Cambrian’s Annual General Meeting.
  • Prepare spreadsheet for monthly Board payroll and provide it to the payroll department.
  • Ensure the timely submission of documents to the BISON extranet site in accordance with DGCM reporting requirements.
  • Attend ALCO meetings and prepare draft meeting minutes.
  • Coordinate the assignment and distribution of tickets for the Jets, Bombers, Moose and Sea Bears, as well as various concerts.  Arrange for food/beverages orders for events being held in the Cambrian suite and provide details to the suite hosts.
  • Exercise discretion and sound judgment when handling sensitive Board and governance matters.
  • Prepare, quality-check, and publish Board packages; manage last-minute changes and version control.
  • Book travel, provide expense support, meeting tech support, secure distribution of materials, and fast turnaround on ad hoc requests.
  • “See around corners,” flag risks/issues early.
