About The Position

Riveron’s Capital Markets Services practice works alongside management teams to help them prepare for and execute critical events such as IPOs, de-SPAC transactions, and other capital markets transactions, while also supporting transactions and business events involving significant accounting and financial reporting complexity. This Director role is functionally aligned with the Accounting Advisory service line and spans the full transaction lifecycle, from initial readiness and transaction planning through registration and execution, as well as the transition to operating as a public company. The role requires strong technical judgment, practical execution experience, and the ability to lead clients and teams through complex and fast-moving situations. Riveron's teams can work directly alongside management and take a hands-on role in getting the work done as Riveron does not provide audit, review, or compilation services.

Requirements

Bachelor’s or Master’s degree in Accounting or a related field
12 or more years of relevant experience combining public accounting, accounting advisory, transaction advisory or similar consulting experience
CPA strongly preferred
Significant client facing experience leading complex engagements and working directly with CFOs, Controllers, CAOs, other senior executives and PE sponsors
Strong technical accounting foundation with advanced knowledge of US GAAP and experience with SEC and PCAOB requirements, including Regulation S-X and Article 11 pro forma financial information; IFRS experience is a plus
Experience with SEC reporting and registration statements, including S-1, S-4, 10-K and 10-Q filings, as well as SEC pre-clearance submissions and comment letter responses
Experience with M&A transactions and/or carve-out transactions
Meaningful experience with IPOs, de-SPAC transactions, other capital markets transactions or other complex transactions and reporting events
Ability to own and lead an engagement from initial assessment and scoping through execution and completion
Strong understanding of what is required to become and operate as a public company, including the interdependencies across accounting, financial reporting, FP&A, internal controls and technology
Ability to take a complex or ambiguous client problem, determine what needs to be done and develop a practical path forward
Comfortable explaining complex accounting and reporting matters in clear, practical terms to senior executives and other stakeholders
Strong project leadership skills with the ability to manage multiple workstreams, stakeholders and deadlines
Demonstrated ability to develop teams and coach individuals at different levels
Strong relationship building and commercial instincts, with an established network across the capital markets ecosystem, including exchanges such as Nasdaq and NYSE, law firms, investment banks, financial printers and other transaction advisors and service providers, and the ability to leverage those relationships to develop new opportunities and expand client relationships
Comfortable being hands on when needed and operating in a dynamic environment with a high degree of ownership
Contribute to the broader firm through recruiting, training, thought leadership, community involvement and other firm initiatives, as well as Capital Markets Services practice and lead practice building activities
An audit only background without meaningful advisory, transaction or client leadership experience is not a fit for this role

Responsibilities

Lead complex IPO, capital markets and accounting advisory engagements, serving as a senior advisor to CFOs, Controllers, CAOs and other members of client leadership teams.
Own IPO and capital markets engagements from readiness through execution and the transition to life as a public company.
Lead IPO readiness assessments and translate findings into practical execution plans, priorities and timelines.
Lead accounting and financial reporting workstreams associated with S-1 and S-4 filings and amendments, PCAOB financial statement requirements, quarterization, de-SPAC transactions, spin offs, debt and equity offerings and other securities transactions.
Work directly with client management, underwriters, legal counsel and auditors to coordinate transaction requirements, resolve issues and maintain momentum.
Guide clients through the accounting and reporting changes required to operate successfully as a public company, including close optimization, organizational readiness, reporting processes and sustainable reporting calendars.
Advise clients on complex accounting and financial reporting matters associated with transactions, including business combinations, carve outs, debt and equity instruments, revenue recognition, leases and other transaction specific issues.
Lead financial reporting and accounting work associated with acquisitions, divestitures, carve outs, restructurings, refinancings, GAAP conversions and other significant business events.
Coordinate with Riveron’s Business Transformation, Risk Advisory, Tax and other teams to address the broader requirements of transaction readiness and public company operations.
Provide technical guidance and issue resolution across multiple concurrent engagements.
Scope engagements, develop workplans, manage economics and ensure teams deliver high quality work.
Build trusted relationships with clients and identify opportunities to support them beyond the initial engagement.
Participate in business development activities, including relationship development, proposals, pitches, networking and market facing events.
Build and maintain relationships across the capital markets ecosystem, including audit firms, exchanges, law firms, investment banks, financial printers and other transaction advisors and service providers, and leverage those relationships to identify opportunities, generate referrals and expand Riveron’s presence in the market.
Develop and mentor team members and contribute to the development of future leaders within the practice.
Collaborate closely with Accounting Advisory leadership on staffing, technical resources, engagement delivery and broader practice development.
