About The Position

PointFive is seeking a Director of Legal to serve as the company's first in-house legal counsel. This role involves building the legal function from the ground up, covering a broad spectrum of legal areas including commercial contracts, deal support, corporate housekeeping, and compliance. The ideal candidate will be a player/coach, process builder, legal counsel, owner, and hands-on executor, reporting to the VP of Operations and partnering closely with Sales, RevOps, Finance, HR, and leadership. This position is for someone energized by building from scratch, moving quickly, and having a significant impact.

Requirements

  • 5-7 years of legal experience in a hi-tech company or hi-tech sector under a law firm.
  • Technical fluency: understanding of how software products are built, deployed, and sold.
  • JD from an accredited law school and bar admission (New York preferred).
  • Deep fluency in commercial contracts: SaaS agreements, MSAs, NDAs, data processing agreements, and vendor terms.
  • Proven ability to work autonomously and own a function.
  • Track record of partnering closely with Sales and RevOps, understanding the commercial process.
  • Experience managing outside counsel, knowing when to deploy them and how to extract value efficiently.
  • Experience with compliance frameworks (SOC 2, ISO 27001, GDPR) and the operational work that keeps them current.
  • Strong instincts on risk: knowing when to push back, when to move fast, and how to explain the difference to a non-lawyer.
  • Clear, direct communicator in contracts and in conversation.

Nice To Haves

  • Familiarity with cloud infrastructure, data security, or FinOps industry context.
  • Prior experience building legal processes and tooling from an early-stage baseline.
  • Familiarity with dual-entity structures and equity matters (US/Israel).

Responsibilities

  • Serve as in-house counsel for all commercial activity, including drafting, reviewing, and negotiating MSAs, SaaS agreements, NDAs, SOWs, and amendments.
  • Drive commercial contracting end-to-end, guiding GTM teams through negotiations and MSA reviews, and building their judgment on tradeoffs and risk.
  • Own the legal aspects of contract lifecycle management, including intake, routing, templates, repository, and reporting, in coordination with RevOps and Sales Ops.
  • Standardize approval workflows and turnaround SLAs to ensure deals move efficiently through Legal.
  • Support partnership agreements with cloud providers, channel partners, and technology alliances, collaborating on deal structure, IP ownership, and commercial terms.
  • Handle contracting legal requirements for cloud marketplaces (AWS, Azure, GCP, etc.), including EULA amendments, CCP terms, DPA addendums, and MDF agreements.
  • Own the company's corporate legal foundation, including entity maintenance and coordination with external counsel on corporate governance.
  • Support G&A activity by interfacing with Finance, HR, and Operations for corporate housekeeping.
  • Manage IP ownership, trademarks, assignment agreements, and licensing matters.
  • Act as the internal go-to for any legal question that doesn't fit a neat category.
  • Handle employment matters, including offer letters, contractor agreements, separation agreements, and policy updates in coordination with HR and Operations.
  • Identify and assess legal and business risk across contracts, partnerships, vendors, and new commercial motions.
  • Build a consistent framework for evaluating and communicating risk to leadership, including recommendations for navigation.
  • Leverage outside counsel efficiently for specialized, unfamiliar, or high-stakes matters.
  • Advise on corporate governance, employment matters, and legal exposure as the company scales.
  • Partner with Security and Engineering on data privacy obligations and audit readiness.
  • Support Security/Technology with the company's compliance posture across SOC 2, ISO 27001, GDPR, and other applicable frameworks.
  • Monitor regulatory changes and ensure internal policies remain current and enforced, especially concerning AI regulation.
  • Lead legal review and response for RFPs, security questionnaires, and customer due diligence requests.
  • Support Solution Engineering by building repeatable playbooks and response libraries for RFPs and questionnaires.
  • Support Finance with vendor contract review and negotiation for software, contractor services, data, and infrastructure agreements.
  • Maintain a vendor contract repository and proactively flag risks and obligations.
  • Partner with Finance on procurement and approval processes for onboarding and renewal of vendor contracts.
