About The Position

Reporting to the Vice President, Corporate Development (VPCD), the Director Mergers & Acquisitions will be responsible for the execution of specific transactions (Acquisitions, Divestitures, JV & Minority Investments), from target identification through valuation, engagement and negotiation strategy, structuring, and post-closing support. This role requires critical thinking, bridging strategy and goals to actionable transaction opportunities, and developing detailed and complex financial analysis. The Director will lead cross-functional teams comprised of both corporate and operating staff, communicating complex matters simply and coherently both up and down the organization. Success in this role requires taking action, making decisions, and driving to closure. The Director will further assist in the leadership of department staff, operating flexibly in a dynamic environment, understanding corporate staff roles, and using the organization effectively. This includes leading transaction teams, due diligence, negotiating agreements, working with corporate finance, and understanding business law as well as tax implications. The department activities are campaign-oriented, requiring the ability to change direction quickly. The ability to work in other cultures and languages is also essential. The successful candidate should be prepared to share how they work and think independently, with a demonstrated history of critical thought and successfully completing complex assignments in varied environments. The position will require travel and adjusting schedules to meet changes in requirements, often on short notice. The Director will also lead and support assessments made to corporate and business area leadership, contributing to thought leadership, analysis, and content to deliver recommendations. This work may or may not be directly related to a transaction, but requires the same diligence and thoroughness to prudently drive the direction of the organization as well as the corporation. A focus on making complex problems or arrangements simple and digestible is imperative.

Requirements

  • +10 years of M&A & JV transaction experience with responsibility from concept to closing.
  • Recognized as a deep expert in leading the transactions
  • Deep experience running complex diligence process
  • Deep experience leading complex negotiations.
  • Deep experience developing financial models for acquisitions to include financial projections, valuation (DCF and Relative Valuation), and accretion and dilution analysis.
  • Broad understanding of transaction structuring and the use of complex financial instruments.
  • Experience in the development of strategy, strategic themes and complex business cases.
  • Talent leadership experience and strong full spectrum leadership values.
  • Strong written and verbal communication skills.
  • Comfortable and effective at making high impact presentations to the ELT (CEO, COO, CFO) and Board

Nice To Haves

  • +5 years Aerospace and Defense experience.
  • International experience a plus
  • Ability to simultaneously manage multiple projects in various stages of the pipeline
  • Highly effective at building effective relationships both internally and externally
