Director, Legal

OneVestToronto, ON
Hybrid

About The Position

OneVest is a fast-growing technology company on a mission to Power the World’s Wealth by revolutionizing how financial institutions deliver wealth management services. We are an innovative team that thrives on creativity, collaboration, and the pursuit of excellence. We’ve been listed as one of Forbes's best start-up employers, and named on the WealthTech100 list for 2024. OneVest is backed by notable investors including Salesforce Ventures, Allianz Life Ventures, TIAA Ventures, OMERS Ventures, Fin Capital, Deloitte Ventures, and more. If you’re passionate about finance, technology, and making a real impact, this is the perfect opportunity to be part of something big. We are seeking an experienced Director, Legal to join our team in Toronto as our sole in-house counsel. This is a high-impact, individual contributor role - you will own the legal function end to end, from corporate maintenance and minute books to commercial contracts and compliance. You'll be the first and only point of contact for legal matters inside the company, engaging outside counsel where specialized expertise is required. A core part of this role is SaaS contract negotiation in-house, so we're seeking someone who can independently run that work without routine reliance on external counsel.

Requirements

  • Law degree from a Canadian law school and member in good standing with the Law Society of Ontario. Licensed to practice law in Ontario is required.
  • 7+ years of relevant legal experience at a top-tier law firm or in-house at a SaaS/FinTech company, with demonstrated success supporting high-growth, technology-driven organizations.
  • Proven track record independently negotiating and closing SaaS agreements and MSAs with enterprise clients - not just reviewing template paper, but leading negotiations directly with client and vendor counterparts.
  • Comfortable operating as a team of one - prioritizing across competing demands, without a larger legal department to lean on for day-to-day support.
  • Strong understanding of Consumer Protection, Privacy (PIPEDA), and Intellectual Property law.
  • Exceptional analytical, communication, and problem-solving skills, with the ability to translate complex legal concepts into actionable business advice.

Responsibilities

  • Independently draft, review, and negotiate our full portfolio of commercial agreements - including SaaS agreements, MSAs, software licenses, order forms, and term sheets - for both our client contracts and our own vendor agreements.
  • Maintain minute books and corporate records, manage day-to-day corporate law matters, and provide legal support for entity management, financing activities, and structural alignment with our platform offerings.
  • Provide expert legal counsel across corporate governance, compliance, employment, and commercial matters. Collaborate with cross-functional leadership to mitigate enterprise risk while supporting business agility.
  • Proactively monitor changes in financial and technology law, ensuring our practices stay ahead of regulatory shifts. Champion compliance and risk management initiatives that protect the business.
  • Identify when a matter requires outside expertise (e.g., specialized litigation, complex M&A, or regulatory filings) and manage those external counsel relationships efficiently to ensure cost-effective, high-quality support.
  • Lead high-stakes corporate transactions, including fundraising rounds, M&A activities, and other strategic initiatives, managing the full lifecycle from inception to closing.

Benefits

  • 4 weeks of vacation in addition to a company wide shutdown between Christmas and New Year
  • A flexible & hybrid working environment
  • Comprehensive Group Health, Dental and Vision Benefit Plan right from the start
  • Employee Stock Option Purchase Plan
