About The Position

Crusoe is seeking a talented and motivated attorney to join our Legal team as Director, Legal Counsel, Capital Markets. This role is essential for building a best-in-class corporate legal function to support Crusoe's rapid growth, capital-raising activity, and increasing complexity. Reporting to the VP & Assistant General Counsel, Securities, you will be the primary legal point of contact for Crusoe's capital markets and financing activity — leading equity and debt security transactions from diligence through closing, including Rule 144A and other private placements. This position offers a unique opportunity to have a direct impact on our company's trajectory, helping to support the financing required for the next stages of our growth. This role works in close partnership with our Director, Legal Counsel, Corporate & Securities. The two positions are designed to provide seamless cross-coverage for one another across the full corporate and securities mandate, and the ideal candidate is comfortable stepping into governance and regulatory matters when needed. The ideal candidate is a detail-oriented and pragmatic legal professional with significant law firm training and a desire to apply their expertise in a dynamic, in-house environment.

Requirements

  • Juris Doctor (JD) from an accredited law school and active membership in good standing in at least one U.S. state bar.
  • A minimum of 4-7 years of corporate and securities experience at a top-tier law firm, with a primary concentration in capital markets and securities transactions.
  • Hands-on experience leading or playing a substantial role in public and private capital markets offerings.
  • Working knowledge of corporate governance, securities reporting, and regulatory compliance.
  • Proven track record of advising companies on complex corporate and transactional matters.
  • Exceptional attention to detail with strong analytical and problem-solving skills.
  • Excellent business judgment and strong communication skills, with the ability to effectively advise and influence stakeholders at all levels.
  • Demonstrated ability to handle sensitive and confidential information with extreme professionalism.
  • A proactive, team-oriented mindset with the ability to manage multiple projects in a fast-paced environment.
  • Proficiency with Google Workspace, Microsoft Office, and AI tools (Claude, Gemini).

Responsibilities

  • Lead legal execution of primary and secondary capital markets transactions — including equity offerings, debt security offerings, convertible instruments, and private placements — from initial diligence through negotiation, signing, and closing.
  • Manage Rule 144A offerings, including reviewing offering memoranda, purchase agreements, indentures, and related transaction documents, and coordinating with initial purchasers, trustees, and rating agencies.
  • Manage the completion of disclosure schedules, ancillary documents and KYC requests; coordinate document flow with investors, banks, and outside counsel.
  • Work with finance team to oversee post-closing matters and ensure ongoing compliance with covenants, obligations, and reporting requirements.
  • Partner with the real estate and debt finance legal teams on project financings, coordinating on diligence, financing structure, offering documentation and related transaction documents.
  • Maintain organized internal deal files and corporate records.
  • Develop standardized templates, checklists, and playbooks to improve team efficiency and transaction consistency.
  • Provide backup and surge support to the Corporate & Securities function, including preparing Board and committee materials (agendas, presentations, minutes, and resolutions).
  • Assist with stockholder consents and notices, and advise on company governing and investor documents (charter, bylaws, voting agreements, investor rights agreements, and rights of first refusal).
  • Support securities-related disclosures and periodic or event-driven investor reporting, and advise on policies and equity transaction reporting as needed.
  • Serve as a key legal advisor on corporate and securities matters to partners across the company, including Finance, Accounting, Investor Relations, and HR.
  • Translate complex legal and regulatory requirements into clear, practical guidance for business stakeholders.
