About The Position

The Director, Commercial Contracts Counsel will be a key member of the Commercial and Enterprise Support Services Center of Expertise (COE) within the Legal Department. Reporting to the Vice President, Assistant General Counsel (the COE lead), this attorney will serve as a trusted advisor to business partners across the enterprise, providing practical, solution-focused counsel on a broad range of commercial contracts. This role will independently manage sophisticated commercial transactions, help execute the COE’s contracting standards and operating model, and contribute to scalable processes, tools, and technology that improve legal service delivery. This attorney will support QXO’s growth and enterprise transformation by partnering closely with Sales, Operations, Finance, Procurement, IT, and other stakeholders.

Requirements

  • Juris Doctor (J.D.) from an accredited law school and active state-bar membership in good standing, or eligibility for admission in the jurisdiction of employment.
  • 5+ years of relevant legal experience, with substantial experience advising on commercial contracting, procurement, supply chain, technology transactions, sales operations, or related enterprise matters.
  • A combination of law firm and in-house experience is preferred.
  • Experience supporting a large, complex, multi-site organization is preferred.
  • Experience in distribution, building products, industrial services, construction, or another operationally intensive environment is a plus.
  • Strong command of commercial contracting principles and demonstrated experience drafting and negotiating a high volume and broad range of agreements with increasing complexity and independence.
  • Experience drafting and negotiating a high volume and wide variety of commercial agreements.
  • Familiarity with contract lifecycle management (CLM) platforms, legal technology tools, or workflow automation; experience implementing or optimizing these solutions is a plus.
  • Excellent judgment, communication, and problem-solving skills; ability to translate complex legal guidance into plain English and manage competing priorities with sound risk calibration.
  • Strong organizational skills and ability to manage a high-volume workload in a fast-paced, evolving environment.
  • Ability to travel occasionally may be required based on business needs.

  • Experience working within a Center of Expertise, shared services, or centralized legal operations model.

Responsibilities

  • Draft, review, negotiate, and manage a high volume of commercial agreements, including customer contracts, vendor/supplier agreements, master services agreements, purchase-order terms, NDAs, and channel partner arrangements.
  • Provide practical legal guidance on sales and commercial matters, including pricing strategies, channel practices, and related antitrust and competition considerations.
  • Counsel Procurement, Supply Chain, and Operations on supplier agreements, logistics arrangements, distribution terms, and vendor onboarding.
  • Advise on technology transactions, including SaaS/cloud agreements, software licensing, data-processing agreements, and systems implementation agreements, in coordination with relevant subject-matter experts, with a particular focus on cybersecurity and data-protection provisions.
  • Manage commercial contracting lifecycle from intake through execution, balancing business objectives, legal risk, and speed while communicating clearly with stakeholders.
  • Identify and escalate complex or high-risk transactions to senior leadership in accordance with COE intake and escalation protocols.
  • Contribute to the development and maintenance of scalable contracting resources, including templates, playbooks, clause libraries, and self-service tools.
  • Lead or support the COE’s legal technology and process-transformation initiatives, including contract lifecycle management (CLM) tools, workflow automation, and legal AI solutions.
  • Use operational data and stakeholder feedback to identify opportunities to improve cycle time, service quality, cost, and internal client experience.
  • Assist in training business partners and internal clients on contracting processes, templates, risk allocation and self-service tools.
  • Partner with Sales, Operations, Finance, IT, and other business teams to translate legal considerations into clear, practical guidance that supports QXO’s commercial and operational objectives.
  • Support M&A integration efforts as they relate to commercial contracts, vendor relationships, and enterprise services frameworks.
  • Contribute to technology-enabled transformation initiatives, major operational projects, and other cross-functional initiatives led by the Vice President, Assistant General Counsel or Chief Legal Officer.
