About The Position

The Director, BTA Execution is responsible for managing the progression of executed Build Transfer Agreements from contract execution through Notice to Proceed (NTP) and into early construction. This role engages late in the contract negotiation process to develop deep fluency with the agreement’s structure, conditions precedent, and post-NTP commercial obligations, then leads the coordinated internal effort to satisfy all contractual requirements on schedule. The position requires a distinctive combination of contract literacy, cross-functional project management, and customer-facing engagement to ensure that BTA obligations are met with precision and accountability.

Requirements

  • Bachelor’s degree required with MBA preferred
  • Minimum of 8 years of experience in project development, project finance, energy transactions, or a related field with direct exposure to complex commercial contracts
  • Direct experience with build transfer agreements, PPAs, EPC contracts, or similar project-level instruments strongly preferred
  • Ability to read, interpret, and operationalize complex commercial contracts.
  • Strong, proven commercial acumen with the ability to apply it across the full development lifecycle; familiarity with energy, infrastructure, or project finance transaction structures strongly preferred
  • Demonstrated ability to build and maintain detailed project schedules, CP trackers, and accountability frameworks across multiple concurrent workstreams with differing owners and hard deadlines
  • Comfortable managing to contractual deadlines where missed milestones carry real commercial consequence; proficiency with project management tools and the ability to create structure in ambiguous environments
  • Exceptional organizational skills with a track record of maintaining clean, auditable records in complex, multi-party transaction environments
  • Proven ability to drive accountability and urgency across internal teams - procurement, engineering, legal, finance, real estate - without direct line authority over those functions.
  • Skilled at aligning stakeholders with competing priorities around a shared critical path and escalating blockers constructively and promptly
  • Strong leadership and communication skills with demonstrated ability to meet and enforce deadlines across a broad stakeholder group
  • Professional confidence managing external relationships with sophisticated counterparties on time-sensitive and commercially consequential matters.

Responsibilities

  • Engage during the final stages of BTA contract negotiation to develop comprehensive familiarity with deal structure, representations, covenants, conditions precedent, and post-NTP commercial obligations prior to execution, ensuring full readiness to operationalize the agreement from day one
  • Serve as the primary internal point of accountability for all conditions precedent to Notice to Proceed, maintaining a comprehensive CP register with owners, target dates, and real-time status, and escalating risks to senior leadership as appropriate
  • Lead cross-functional coordination across internal workstreams — including equipment procurement, EPC contracting, land and real estate, permitting, legal, and finance — to ensure each team understands their CP obligations, timelines, and interdependencies, driving accountability without direct line authority over those functions
  • Own the external-facing relationship with the BTA counterparty on all CP-related matters, including coordinating delivery of required documentation, responding to counterparty requests for evidence of satisfaction, and managing the formal NTP process in a manner that protects the company’s commercial and contractual position
  • Develop and maintain a master project schedule from contract execution through NTP, identifying the critical path and proactively managing schedule risk across all contributing workstreams to ensure on-time delivery of all contractual milestones
  • Drive accountability through regular cross-functional status meetings, written progress reporting, and clear escalation protocols, ensuring that CP obligations at risk of delay are surfaced early and addressed decisively
  • Following NTP, monitor and manage ongoing commercial obligations under the BTA, including tracking contractual payment milestones, tax representation deadlines, reporting requirements, and other post-close covenants through final resolution
  • Maintain organized, auditable records of all CP deliverables, counterparty correspondence, and executed documentation in support of internal governance, executive reporting, and any future dispute resolution needs
  • Partner with legal counsel to interpret contractual obligations, identify ambiguities, and ensure internal teams are acting in full accordance with the terms of the agreement throughout the CP period and beyond
