Requirements

  • J.D. degree from accredited law school
  • Current member of the California (or other acceptable jurisdiction) bar association in good standing
  • 8+ years’ experience practicing with national law firm or with national law firm and as an in-house attorney
  • Experience in the areas of capital markets, financing transactions, securities laws and corporate governance
  • Understanding of financial statements
  • Experience working for and/or representing publicly traded companies
  • Proficiency in drafting, reviewing and analyzing transaction documentation, while collaborating on strategy and risk considerations
  • Demonstrated ability to proactively identify, analyze and resolve issues, anticipate the needs of clients and supervisors and provide business-focused and practical legal advice with a high degree of integrity
  • Ability to effectively communicate legal issues in a clear and understandable manner
  • Demonstrated ability to inspire trust and confidence through effective communication and interpersonal skills
  • Strong work ethic and ability to produce high quality work under deadline pressures
  • Self-starter with an appetite for problem-solving and ability to “own” projects or tasks to see goals through to completion
  • Ability to exercise independent judgment and manage multiple projects simultaneously
  • Good sense of humor, positive attitude and ability to stay calm and collected under pressure

Responsibilities

  • Provide legal support to the treasury and finance functions, ranging from supporting large financing transactions to managing day-to-day activities
  • Evaluate, advise on and handle a wide variety of financing transactions, including debt and equity offerings, bank financings, sale-and-leaseback transactions and other structured financing transactions
  • Review and negotiate documentation for various treasury activities on a regular basis, including factoring arrangements and hedging activities
  • Track and support compliance with covenants in debt documents, including by assisting with debt document interpretation
  • Assist in the preparation and review of securities filings: Periodic and current reports, Proxy statements, Registration statements, Form SD (conflict minerals) and Section 16 filings
  • Draft and review Board of Directors and committee meeting materials covering topics such as financial reviews, corporate governance and strategic transactions
  • Provide legal support for domestic and foreign subsidiary management and legal entity restructuring
  • Recommend policy, process and/or practice changes with impact on one or more functional groups or business units
  • Advise on a broad range of securities laws and corporate governance matters
  • Assist in the administration of policies and procedures to ensure compliance with Sarbanes-Oxley, Nasdaq regulations, SEC regulations (e.g., insider trading, Reg. FD and Reg. G) and other regulations applicable to public companies
  • Provide support to, and develop strong working relationships and trust with, the tax, treasury, investor relations, finance and stock plan administration functions
  • Work under general direction and keep manager informed as projects proceed
  • Effectively manage outside counsel on a global basis
