About The Position

The Deputy General Counsel (DGC) serves as a senior leader within the Quva’s Legal Department, reports to the Executive Vice President (EVP), Chief Legal Officer and Secretary, and acts as a strategic advisor to the senior leadership team. This role will assist with business development, licensing, partnership, financing, intellectual property and governance matters, oversee Quva’s contracting function, and advise on complex regulatory, quality and compliance matters. The DGC will supervise attorneys and legal staff and lead cross-functional initiatives. Requirements

  • Large law firm training and at least 7 years’ experience in a public or sophisticated private pharmaceutical, compounding or other healthcare company
  • Significant experience with corporate, financing and governance matters, as well as healthcare commercial contracting.
  • Proactive nature and proven experience managing and driving complex legal issues to successful conclusion in complex operating environments
  • Previous experience managing reports and external legal and consulting resources
  • Strong business judgment and ability to balance legal risk with strategic objectives
  • Exceptional communication, negotiation, and interpersonal skills
  • Ability to manage multiple priorities in a fast-paced environment
  • High integrity, discretion, and professionalism
  • Legally authorized to work in the job posting country
  • Law degree from an ABA accredited school
  • Member of the Texas State Bar or otherwise qualified to practice law in Texas as in-house counsel
  • 10+ years of legal experience, including significant in-house or law firm leadership
  • Demonstrated expertise areas - corporate, regulatory, litigation, employment, privacy
  • Experience managing teams and working with executive leadership

  • Familiarity with FDA regulatory and/or quality matters a significant plus

Responsibilities

  • Work closely with the EVP, Chief Legal Officer and Secretary in the development and execution of the organization’s legal strategy
  • Assist with business development, licensing, partnership, financing, intellectual property and governance matters, oversee Quva’s legal contracting function, and advise on complex regulatory, quality and compliance matters
  • Advise senior executives and business leaders on legal risks, opportunities, and strategic decisions
  • Represent the Legal Department in internal and external meetings
  • Draft, review, and assist in the negotiation of high-value licensing, development, partnership, financing, commercial, real estate, supply and vendor agreements
  • Monitor emerging legal trends and regulatory changes that may impact the organization
  • Supervise, mentor, and develop attorneys and other legal staff
  • Foster a collaborative, high-performance culture within the Legal Department
  • Allocate resources effectively and manage departmental priorities
  • Effectively partner with other departments to support business initiatives
  • Provide assistance and legal guidance on business development transactions, including mergers, acquisitions, partnerships, and financings
  • Support investigations and sensitive organizational matters
  • Provide continuity of leadership and decision-making
  • Other duties as assigned by the EVP, Chief Legal Officer and Secretary
