About The Position

S&B USA has an excellent opportunity for a Counsel to join its legal team, based in Pittsburgh, PA. The Counsel supports the legal, contractual, and compliance needs of a growing heavy civil infrastructure construction organization engaged in alternative delivery projects including Design-Build (DB), Progressive Design-Build (PDB), Construction Manager/General Contractor (CM/GC), Construction Manager at Risk (CMAR), Public-Private Partnerships (P3), and traditional design-bid-build contracts. This role partners closely with Operations, Estimating, Risk Management, Human Resources, Finance, and Executive Leadership to identify legal risks, support contract administration, ensure regulatory compliance, and assist in dispute avoidance and resolution. The ideal candidate is an early-career attorney seeking exposure to complex construction projects, government contracting, labor and employment matters, and commercial transactions within the infrastructure industry.

Requirements

  • Juris Doctor (J.D.) from an accredited law school.
  • Active license and good standing with at least one U.S. state bar.
  • 1–5 years of legal experience.
  • Experience in construction law, commercial contracts, government contracting, labor and employment, or litigation is preferred.
  • Law firm, corporate legal department, or judicial clerkship experience is desirable.
  • Working knowledge of contract law and legal research methodologies.
  • Strong analytical and problem-solving skills.
  • Excellent written and verbal communication abilities.
  • Ability to manage multiple priorities in a fast-paced project environment.
  • Strong attention to detail and organizational skills.
  • Ability to interact effectively with executive leadership, project teams, and external counsel.
  • Proficiency with Microsoft Office Suite and legal research platforms.

Nice To Haves

  • Exposure to heavy civil, infrastructure, transportation, energy, or industrial construction projects.
  • Familiarity with alternative delivery contracting methods (DB, PDB, CM/GC, CMAR, P3).
  • Understanding of public procurement laws and government-funded construction projects.
  • Experience reviewing construction contracts such as AIA, EJCDC, ConsensusDocs, or agency-specific forms.
  • Knowledge of claims management, risk management, and dispute resolution processes.

Responsibilities

  • Assist with the review, drafting, and negotiation of: Prime contracts, Subcontracts, Consulting agreements, Joint venture agreements, Teaming agreements, Non-disclosure agreements (NDAs), Vendor and supplier agreements.
  • Support bid and proposal teams by reviewing procurement documents and contract terms.
  • Identify contractual risks and recommend mitigation strategies.
  • Maintain contract templates and legal forms.
  • Provide legal support to project teams throughout the project lifecycle.
  • Assist with contract interpretation and administration issues.
  • Review change orders, claims, notices, and correspondence.
  • Support project teams in documenting and preserving contractual rights.
  • Research legal issues related to public procurement, construction law, and government contracts.
  • Assist in the preparation and management of: Requests for Equitable Adjustment (REAs), Claims submissions, Dispute resolution proceedings, Mediation and arbitration matters.
  • Coordinate with outside counsel as directed.
  • Organize legal records, evidence, and project documentation supporting claims and defenses.
  • Monitor compliance with federal, state, and local regulations.
  • Support compliance efforts related to: Labor and employment laws, Equal Employment Opportunity (EEO), Davis-Bacon and prevailing wage requirements, DBE/SBE participation requirements, Immigration and employment eligibility regulations, Ethics and anti-corruption requirements.
  • Assist in the development and implementation of company policies and procedures.
  • Conduct legal research and prepare memoranda on various business matters.
  • Support corporate governance activities and entity management.
  • Assist with insurance, bonding, licensing, and regulatory filings.
  • Maintain legal records and contract databases.
  • Support mergers, acquisitions, joint ventures, and strategic business initiatives as assigned.
  • Develop and deliver legal awareness training for project and corporate teams.
  • Provide guidance to operational leaders regarding contractual obligations and risk management practices.
  • Promote proactive dispute avoidance and contract compliance practices.
