The Counsel role provides legal counsel to SB Energy’s cross-functional teams, supporting the growth of the platform and working interactively with the legal, executive, and other functional teams. This position reports to the Senior Counsel.

Requirements

JD and strong academic record from a leading law school.
Licensed to practice law in applicable state of residence.
2+ years of relevant experience at a major law firm or with a sophisticated in-house legal department.
Experience with transactions in the energy and infrastructure industry, with a focus on M&A, real estate, and/or project development and finance.
Ability to work independently and as a team member.
Ability to set priorities and respond to changing demands from multiple sources.
Excellent communication skills (verbal and written).
Project management skills.
Ability to negotiate.
Ability to provide a high level of client service and build consensus across a matrixed client organization.
Ability to interface with all levels of the organization.
Ability to take lead on responsibilities within the job description, with support from outside counsel and/or other members of the internal legal team.

Responsibilities

Provide counsel to the Company as the business positions itself to capture emerging opportunities in the energy and infrastructure industries, including Datacenter and real estate development, Utility Scale-Solar, battery storage and other energy resources, and development and acquisition of new technologies.
Support project and corporate financing, including construction debt, corporate debt, tax equity facilities, other structures, and potential equipment financing facilities.
Support, negotiate, and review acquisition structures and documentation for pipeline growth and market expansion with new technologies.
Assist with the review, negotiation, and drafting of real estate agreements and title issues.
Research, review, interpret, draft, and negotiate project documents such as lease agreements, power purchase agreements, energy and/or REC hedge transactions, construction, EPC, and O&M agreements.
Manage and supervise outside counsel within budgetary constraints, including reviewing and approving outside counsel invoices.
Provide counsel on legal issues identified by development and operations teams in connection with development and operating projects.
