About The Position

CenterPoint Energy's legal department is seeking a corporate attorney with 2 to 5 years of experience. The ideal candidate will have a broad corporate background in mergers, acquisitions, financing, and strategic transactions. This role involves providing legal advice and support for various corporate matters, including strategic transactions, public and private debt and equity offerings, commercial paper, credit agreements, letters of credit, and other corporate treasury functions. Additionally, the position will provide legal counsel on securities laws and public company disclosure matters, including supporting the review of Exchange Act filings. The role requires collaboration with functional groups outside the legal department, particularly Treasury and Strategic Transactions, and the ability to influence and provide timely, effective legal and business advice at all organizational levels on complex transactions. Participation in mandatory emergency operations plan procedures is also required.

Requirements

  • Bachelor’s degree and a J.D. (Doctor of Jurisprudence) degree required from an accredited law school.
  • 2–5 years of corporate experience at a large law firm and/or as in-house counsel.
  • Must be eligible to practice in at least one state in the United States, preferably Texas.
  • Experience with matters relating to mergers and acquisitions, securities, finance and credit agreements, capital markets, strategic transactions.
  • Experience with financial reporting, corporate governance and complex commercial transactions.

Nice To Haves

  • Experience in energy and utilities, including electric generation, transmission and distribution, and natural gas distribution is a plus.

Responsibilities

  • Provide legal advice on and support for strategic corporate and mergers and acquisitions matters and transactions.
  • Provide legal advice on and support for public and private debt and equity offerings, commercial paper, credit agreements, letters of credit, and other corporate treasury matters.
  • Provide legal advice on and support for hedging and derivatives matters.
  • Provide legal advice on and support for securities laws and public company disclosure matters related to the above, including supporting the review of Exchange Act filings.
  • Demonstrate an ability to collaborate across functional groups in the company outside of the legal department, and in particular the company’s Treasury and Strategic Transactions groups.
  • Influence and provide timely and effective legal and business advice and support at all organizational levels on complex transactions.
  • Participate in mandatory emergency operations plan procedures.
