About The Position

The firm’s Corporate, M&A, and Securities Practice Group is ranked highly in prestige, delivering high-stakes transactional counsel to middle-market enterprises, global entities, and private equity sponsors. This role offers a dedicated track for self-motivated attorneys eager to build a long-term, lucrative practice within a growth-oriented corporate group. The incoming Corporate Associate will join a dynamic practice group and manage sophisticated transactional matters from inception to closing. The attorney will serve as an integral team member on mid-market to large-scale deals, driving transaction execution and strategic risk advisory.

Requirements

  • Juris Doctor (J.D.) from an ABA-accredited law school with outstanding academic and professional credentials.
  • Active Bar admission in good standing in the respective jurisdiction of the seated office (MA, NY, PA, or D.C.).
  • Four (4) to Seven (7) years of dedicated legal experience handling broad-based corporate matters, M&A, and private equity transactions within a reputable law firm setting.
  • Exceptional drafting, analytical, and oral communication skills, with a proven track record of handling client-facing responsibilities.
  • Demonstrated interpersonal adaptability, self-motivation, confidence, and a team-oriented mindset.

Nice To Haves

  • Substantive legal knowledge of federal and state securities laws (including private placements, regulatory compliance, and reporting).
  • Experience navigating corporate finance transactions, leverage buyouts, debt instruments, and credit facilities.
  • Proven capacity to independently manage transaction workflows, direct due diligence teams, and interface directly with executive leadership and investors.

Responsibilities

  • Architecting and executing complex transactional structures for public and private mergers, acquisitions, strategic investments, and joint ventures.
  • Representing private equity sponsors, growth equity funds, and portfolio companies across all stages of investment, buyouts, and divestitures.
  • Drafting, reviewing, and negotiating core transactional agreements, including stock purchase agreements, asset purchase contracts, operating agreements, and merger instruments.
  • Counseling business entities on general corporate governance, commercial contract compliance, organizational structuring, and ongoing operational strategies.
  • Conducting and managing multi-faceted due diligence processes, identifying liabilities, and synthesizing strategic recommendations for senior stakeholders.
