About The Position

As Corporate Secretary, you will serve as the operational backbone of Securitize's Board governance function. Reporting to the General Counsel, you'll own the end-to-end management of Board and committee meetings, ensure compliance with SEC regulations and NYSE listing standards, and serve as the critical link between the Board, executive leadership, and external stakeholders. Precision, discretion, and institutional knowledge are the foundation of this role.

Requirements

  • 5–10 years of corporate secretarial or governance experience; public company or pre-IPO experience strongly preferred
  • Deep working knowledge of SEC rules, proxy regulations, and NYSE listing standards
  • Proven ability to support Boards and senior executives with high-stakes, confidential materials
  • Exceptional organizational skills and meticulous attention to detail under tight deadlines
  • Strong written communication skills — you draft clearly and concisely

Nice To Haves

  • Experience with governance platforms (Boardvantage or equivalent) preferred
  • Paralegal certificate, ICSA/CGI certification, or JD a plus

Responsibilities

  • Own all logistics, agendas, materials, and minutes for Board and committee meetings (Audit, Compensation, Nominating/Governance)
  • Draft, review, and distribute resolutions, written consents, and Board packages
  • Maintain all official corporate records, charters, committee calendars, and governance policies
  • Ensure ongoing compliance with SEC regulations and NYSE listing requirements as the company transitions to public markets
  • Coordinate Section 16 reporting (Forms 3, 4, 5) and administer the insider trading compliance program
  • Support preparation of proxy statements, annual meeting materials, and related regulatory filings
  • Manage the Annual Meeting of Shareholders end-to-end — logistics, materials, voting, and Q&A preparation
  • Serve as primary liaison with the transfer agent, proxy advisors, and institutional shareholders
  • Partner with Legal, Finance, IR, and HR on governance matters, disclosures, and corporate actions
  • Support M&A activity, financing transactions, and other strategic initiatives requiring Board approvals
