This role will partner with in-house attorneys to draft and review contracts, manage the contract lifecycle, and maintain an organized database of legal documents. The Corporate Paralegal will also manage corporate governance matters, including constitutive documents, filings, business permits, and Board and shareholder documentation. Additionally, this role will support legal due diligence for corporate transactions, manage outside counsel and external resources, and coordinate with external parties to gather information for company projects. The position involves participating in meetings, communicating with internal teams to ensure legal compliance, and supporting the Legal Team in developing and delivering training programs on contract management and corporate governance. This role is based at the Scout Motors corporate headquarters in Charlotte, NC, and requires 4-5 days per week in the office, with regular in-person meetings and potential travel.

Requirements

  • Bachelor’s Degree + relevant paralegal experience or paralegal certification
  • Proven experience of 4-6 years as a paralegal, preferably in a corporate legal department or law firm with experience in manufacturing, automotive or other highly regulated industries.
  • Proficiency in transaction life cycle management, and strong knowledge of legal concepts, contracts, and legal research methods.
  • Strong understanding of corporate governance principles and documents.
  • Proficiency in legal research and contract management tools and databases.
  • Ability to exercise discretion and maintain confidentiality of sensitive information.
  • Excellent drafting and writing skills, with the ability to prepare accurate and well-organized legal documents.
  • Detail-oriented with a high level of accuracy in work product.
  • Basic budget management skills and ability to review invoices consistent with our billing guidelines.
  • Strong organizational and multitasking skills, with the ability to prioritize and manage multiple tasks and deadlines.
  • Ability to work both independently and collaboratively as part of a legal team.
  • Effective communication and strong interpersonal skills, with the ability to interact professionally with internal stakeholders and external parties.
  • Interest in continuing to develop and grow as a paralegal within an in-house legal department.
  • Able to multi-task and make effective decisions in a fast-paced, deadline-driven environment.
  • A proactive self-starter who is able to manage their time effectively and work independently.

Responsibilities

  • Partner with in-house attorneys to draft and review contracts, including for procurement, sales & marketing, finance, and other functions as necessary, ensuring accuracy and compliance with company policies, objectives, and legal requirements.
  • Work with attorneys to diligently manage the contract lifecycle, including contract tracking, renewal, and expiration, and partner with the Contracts Manager to maintain an organized database of legal documents through the contract management system.
  • Manage, and work with other members of the Legal, Finance, Administration and other teams on, the Company’s corporate governance matters, including constitutive documents, filings, business permits, and Board and shareholder documentation.
  • Manage or support legal due diligence for corporate transactions, including organizing responses to due diligence requests and managing documents within data rooms.
  • Manage outside counsel and other external resources, including tracking projects, costs and expenses according to an approved budget.
  • Coordinate with external counsel and other stakeholders to gather and provide necessary information for Company projects and transactions.
  • Participate in meetings and communicate with internal teams to ensure legal compliance and adherence to company policies.
  • Support the Legal Team in developing and delivering training programs for employees on contract lifecycle management and corporate governance/compliance.
