About The Position

The Corporate Paralegal position involves assisting with various legal tasks to support the company's legal department. This includes managing corporate formations and dissolutions, drafting and reviewing legal documents, and maintaining contract management systems. The role also requires providing administrative support for litigation, due diligence, intellectual property filings, compliance programs, and insurance matters. The paralegal will be responsible for preparing and filing documents with agencies, maintaining filing systems, and handling general legal inquiries. The position requires strong organizational skills, attention to detail, and the ability to work both independently and collaboratively.

Requirements

  • Associate's degree in paralegal studies or a related field, or a paralegal certificate from an ABA-approved program.
  • 3+ years of experience working as a paralegal or legal assistant in a corporate legal department or law firm setting.
  • Familiarity with commercial contracts and corporate legal processes.
  • Experience with document management systems, ideally ContractPodAI or similar platforms.
  • Strong knowledge of corporate law, contract law, and general legal principles.
  • Excellent written and verbal communication skills.
  • Ability to work independently and as part of a team.
  • Exceptional organizational and time-management skills.
  • Proficiency in Google Workspace (or comparable programs) and legal research databases.

  • Experience in the manufacturing industry is a plus.

Responsibilities

  • Assist with the formation and dissolution of corporations, LLCs, and partnerships.
  • Draft and review contracts, NDAs, and other legal documents.
  • Assist in routing contracts and maintaining the Contract Lifecycle Management System (ContractPodAI) from a legal perspective.
  • Organize and maintain contract files and documentation.
  • Provide administrative support for litigation management and other special projects as needed.
  • Assist with gathering and organizing documents for outside counsel.
  • Assist in maintaining knowledge of laws and regulations relevant to Company businesses by organizing legal resources and updates.
  • Support the Corporate Counsel in due diligence on business initiatives and review of marketing and promotional materials by organizing relevant documentation.
  • Assist with administrative tasks related to intellectual property filings and technology licensing.
  • Provide support in organizing materials and documentation for the Company's Compliance program.
  • Assist with administrative aspects of insurance programs.
  • Prepare and organize legal documents, presentations, and correspondence.
  • Prepare and file documents with state and federal agencies.
  • Maintain organized physical and electronic filing systems.
  • Handle general inquiries and direct them to the appropriate legal team member.
