About The Position

The White Castle Corporate Paralegal position provides advanced legal, corporate governance, and executive administrative support to the Vice President & General Counsel and the Legal Department. The incumbent is responsible for coordinating corporate governance activities, maintaining corporate and shareholder records, administering trust-related matters, managing commercial contracts, overseeing business licensing and corporate compliance activities, and supporting legal operations across the Company and its affiliated entities. This role serves as a key resource to Company leadership, departments, regions, divisions, directors, shareholders, officers, and external service providers to ensure legal documentation, corporate records, regulatory filings, and governance activities are completed accurately, timely, and in compliance with applicable legal, regulatory, and corporate requirements while maintaining the highest level of confidentiality and professionalism.

Requirements

  • A minimum of five years of experience as a corporate paralegal with responsibility for contracts and corporate records is required
  • Certificate of completion from an ABA-approved paralegal certification program is required
  • Proficient with Microsoft Office, Outlook, Word, and Excel and internet-based research
  • Ability to function effectively in a busy, team-oriented environment and to skillfully manage competing deadlines in a fast-paced environment
  • Have a good working knowledge of legal documents, general record keeping, and related terminology; and familiarity with Secretary of State processes
  • Experience drafting and revising service and vendor agreements for attorney review and approval

Nice To Haves

  • Associate’s Degree in Paralegal Studies, Legal Studies, Business Administration, or a related field is preferred

Responsibilities

  • Maintain corporate, shareholder, and trust books and records
  • Prepare, maintain, and timely distribute corporate records and governance documentation for the Company and its affiliated entities, including meeting notices, agendas, minutes, written consents, resolutions, and other related records
  • Coordinate the annual board and shareholder meeting calendars for all entities
  • Review all trust-related activities regularly with the Vice President & General Counsel to ensure appropriate approvals are obtained and all required actions are taken
  • Process approved trust payment requests
  • Work closely with appropriate Company personnel to accurately and timely prepare, maintain, and update all books, records, and documentation relating to designated trusts and trust accounts established for the benefit of shareholders
  • Coordinate the administration of shareholder stock repurchase requests and assist with other trust-related matters as they arise
  • Review, analyze, draft, and revise a wide variety of contracts and agreements to support the Company's business operations and transactions
  • Prepare, review, and update temporary employment agreements, service agreements (including security, waste hauling, equipment, uniforms, towing, and pest control), and other contracts and legal documents as assigned
  • Coordinate the acquisition, renewal, and maintenance of business licenses, permits, business entity registrations, and registered agent services
  • Coordinate with the Company's registered agent to manage service of process, garnishments, corporate notices, entity formations, state business registrations, and qualifications to transact business in jurisdictions where the Company operates
  • Provide administrative and legal support to the Vice President & General Counsel in handling sensitive and highly confidential matters
  • Prepare, draft, edit, and proofread correspondence, memoranda, reports, presentations, and other legal and business documents to support the efficient operation of the Legal Department
  • Performs other duties as assigned
