Requirements

  • Bachelor’s Degree + relevant paralegal experience or paralegal certification
  • Proven experience of 4-6 years as a paralegal, preferably in a corporate legal department or law firm with experience in manufacturing, automotive or other highly regulated industries.
  • Proficiency in transaction life cycle management, and strong knowledge of legal concepts, contracts, and legal research methods.
  • Strong understanding of corporate governance principles and documents.
  • Proficiency in legal research and contract management tools and databases.
  • Ability to exercise discretion and maintain confidentiality of sensitive information.
  • Excellent drafting and writing skills, with the ability to prepare accurate and well-organized legal documents.
  • Detail-oriented with a high level of accuracy in work product.
  • Basic budget management skills and ability to review invoices consistent with our billing guidelines.
  • Strong organizational and multitasking skills, with the ability to prioritize and manage multiple tasks and deadlines.
  • Ability to work both independently and collaboratively as part of a legal team.
  • Effective communication and strong interpersonal skills, with the ability to interact professionally with internal stakeholders and external parties.
  • Interest in continuing to develop and grow as a paralegal within an in-house legal department.
  • Able to multi-task and make effective decisions in a fast-paced, deadline-driven environment.
  • A proactive self-starter who is able to manage their time effectively and work independently.

Responsibilities

  • Partner with in-house attorneys to draft and review contracts, including for procurement, sales & marketing, finance, and other functions, ensuring accuracy and compliance with company policies, objectives, and legal requirements.
  • Manage the contract lifecycle, including tracking, renewal, and expiration, and maintain an organized database of legal documents through our contract management system.
  • Manage corporate governance matters, including constitutive documents, filings, business permits, and Board and shareholder documentation.
  • Manage or support legal due diligence for corporate transactions, including organizing responses to due diligence requests and managing documents within data rooms.
  • Manage outside counsel and other external resources, including tracking projects, costs, and expenses according to an approved budget.
  • Coordinate with external counsel and other stakeholders to gather and provide necessary information for company projects and transactions.
  • Participate in meetings and communicate with internal teams to ensure legal compliance and adherence to company policies.
  • Support the Legal Team in developing and delivering training programs for employees on contract lifecycle management and corporate governance/compliance.
