Corporate Paralegal (Law Firm Experience)
About The Position
SourcePro Search is conducting a search for an experienced Corporate Paralegal with our large global law firm client to join their Los Angeles office. What You'll Do: Mergers and acquisitions, including: organizing data rooms and coordinating due diligence; Preparing and maintaining closing checklists; Drafting board and stockholder consents; Coordinating signings and closings Equity financings, including: LLC financings; Venture capital financings; Experience preparing and coordinating securities filings, including Form ID, Form D and state blue sky filings General corporate, including: entity formation; Drafting board and stockholder consents and meeting minutes; Preparing stock certificates; Drafting documents for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and LLCs; DocuSign; and Carta and other cap table management tools Experience in secured financing transactions and UCC filings is helpful but not a requirement. What You'll Bring At least 5 years of current or recent large law firm experience Successful candidates will have superior academics, excellent drafting, writing and analytical skills, accurate and strong attention to detail, high level of organization and ability to handle a variety of projects simultaneously, and strong verbal and interpersonal skills.
