About The Position

This position is designed for an experienced paralegal with at least 3–5 years of investment management or private funds experience. The successful candidate will have hands-on experience with entity formation, governance documentation, regulatory filings, entity lifecycle management, and will be comfortable serving as a key operational point of contact on sophisticated matters.

Requirements

  • A minimum of three years of paralegal experience in investment management, private/alternative funds, or corporate law.
  • Strong project management skills, including ability to multi-task, work well under pressure, and balance multiple competing priorities.
  • Strong written and verbal communication skills are required. Responsiveness is essential.
  • Ability to exhibit flexibility and work independently and as part of our team in a fast-paced environment is critical. Must be able to adapt to shifting client needs.
  • The ability to work under intense pressure is essential.
  • Ability to respond to priority tasks outside of standard working hours, including evenings and weekends, as needed.
  • Must demonstrate flexibility with work schedule, including variable start and end times based on business needs and, at times without prior notice.

Nice To Haves

  • Prior experience as a paralegal supporting corporate matters, preferably for private investment funds, private equity, venture capital, or other alternative asset managers.
  • Hands-on experience with entity formation, including LPs and LLCs (management companies, general partner entities, and other related entities).
  • Experience managing entity filings and ongoing compliance using third-party filing vendors.
  • Familiarity with fund closings, subscription agreements, and investor onboarding processes.
  • Experience supporting SEC-related filings, such as Form D and Blue Sky filings, is a plus.
  • An Associate or Bachelor’s Degree from an accredited college is preferred.

Responsibilities

  • Assist attorneys with the formation, organization, and structuring of private investment funds and related entities, including limited partnerships, limited liability companies, feeder funds, blocker entities, and management companies.
  • Support fund launches and closings by managing closing checklists, coordinating execution of documents, and organizing closing documentation.
  • Conduct due diligence, including reviewing and summarizing organizational documents, agreements, and corporate records.
  • Draft, organize, and maintain fund structure charts using Visio and PowerPoint.
  • Track and maintain subscription agreements, transfer agreements, and other related investor documentation.
  • Manage and submit time entries in compliance with firm standards.
  • Handle U.S. entity formations, amendments, conversions, qualifications, and dissolutions across multiple jurisdictions.
  • Coordinate with filing vendors, including preparing filing instructions, reviewing filings for accuracy, and tracking turnaround times.
  • File applications and obtain EINs, certificates of good standing, certified formation documents, and other corporate records.
  • Manage ongoing entity compliance, including annual reports, state registrations, and entity maintenance workflows.
  • Maintain accurate corporate records and entity trackers to support ongoing investment management matters.
