About The Position

The Flynn Group of Companies is seeking an experienced Corporate Law Clerk to join its team in its Mississauga offices, supporting the Senior Vice President Legal and General Counsel. As a key member of Flynn’s Legal team, this individual will be responsible for preparing corporate filings, registrations and other legal documents related to Flynn’s businesses in Canada and the United States. The individual must have a strong working knowledge of private company commercial structure and transactions.

Requirements

  • Post-secondary diploma in a Law Clerk Program or related field.
  • Minimum of 7 years experience in a law firm or corporate environment.
  • Experience with drafting corporate filings, registrations and other legal documents and supporting corporate and commercial transactions.
  • Experience with federal and provincial corporate government websites for the purposes of on-line filings.
  • Working knowledge of provincial and federal corporate law and terminology.
  • Ability to perform with minimal oversight, with demonstrated ability to effectively prioritize and complete matters quickly and efficiently.
  • Superior organizational skills, including document and file management processes
  • Accuracy and attention to detail.
  • Excellent verbal, written and interpersonal skills, with ability to work independently and as part of an interdisciplinary team.
  • Maintain high level of confidentiality and professionalism.
  • Proficiency in Word, Outlook, Excel and Adobe Acrobat.

Nice To Haves

  • Experience supporting a large internal shareholder market is a key asset.
  • Knowledge of the construction industry is an asset.

Responsibilities

  • Preparing and filing corporate and extra-provincial filings and registrations for the Flynn entities across Canada and the US.
  • Assisting counsel in the preparation and closing of various corporate and commercial transactions, including reorganizations, financing, mergers and acquisitions.
  • Preparing director and shareholder resolutions, with responsibility for maintenance of the organization’s minute books, registers and ledgers.
  • Preparing annual proceedings including any director or officer elections, appointments or resignations.
  • Updating corporate governance documents and assisting lawyers with completion of other documentation and agreements.
  • Maintaining electronic and hard copy minute books, documents and files.
  • Liaising with shareholders including preparation of various documents and the facilitating of execution of such documents.
  • Instructing external service providers on incorporations, searches and corporate maintenance.
  • Advising registered agents of any changes to entities and arranging for payment of invoices.
  • Maintaining of organizational charts, lists and tracking charts including diarizing of various expiry/due dates.
  • Processing of legal invoices.
  • Co-ordinating with Finance, Human Resources and other shared services group and management of Flynn to provide and maintain information about the corporations and shareholders.
