Weintraub Tobin’s Corporate practice group provides comprehensive legal services to a broad range of companies and partners with clients through each stage of their growth—from formation to capital raising to major liquidity events. The group represents both buyers and sellers in a wide range of business acquisitions, sales, and reorganizations, and collaborates closely with other practice areas, including tax and real estate, to deliver fully integrated legal solutions. The Firm’s Healthcare practice group represents regional hospital systems, ambulatory care providers, medical foundations, healthcare management companies, physicians and physician groups, and other healthcare and business clients. With decades of experience and deep industry knowledge, the team often serves as general counsel to startups, established businesses, and public and private consolidators of healthcare providers, and is well known for its expertise in mergers and acquisitions and business law. The Healthcare practice group provides regulatory support to healthcare companies including Medicare and Medi-Cal provider enrollment and facility licensing. THE OPPORTUNITY Weintraub Tobin’s Sacramento office is seeking a full-time Corporate Paralegal to support a dynamic group of transactional attorneys within our Corporate and Healthcare practices. This position requires managing multiple projects simultaneously, including large-scale document organization, tracking transaction progress, and ensuring the timely execution of key deliverables. The ideal candidate is proactive, organized, detail-oriented, and able to move projects forward while maintaining a high standard of accuracy and client service. Responsibilities include assisting with due diligence, preparing legal documents, regulatory filings, maintaining corporate records, and liaising with clients and third parties. This opportunity is ideal for a graduate of a paralegal program or approved postsecondary institution (as aligned with California Business and Professions Code §§ 6450) who is looking to build a long-term career within the legal field.

Requirements

  • 0-5 years of professional office work at the entry level; prior paralegal experience preferred, particularly within corporate and/or healthcare practices
  • Paralegal certificate from an ABA-approved program required; alternatively, qualifications meeting California Business and Professions Code §§ 6450–6456 may be considered
  • Proficiency in Microsoft Office Suite, including advanced Excel skills

Responsibilities

  • Conduct legal research to support attorneys and client matters
  • Analyze healthcare provider enrollment and licensing requirements and application processes, including those involving complex organizational structures and agency-specific formatting requirements
  • Interface with government agencies and public officials regarding pending applications, exercising sound judgment and the ability to effectively translate client objectives into clear, regulator-facing communications
  • Translate information required for regulatory and corporate filings into complete, accurate, and client-ready documentation, identifying overlap and inconsistencies across forms and requirements
  • Understand and manage the sequencing and interdependencies of regulatory approvals and corporate actions, particularly in matters involving healthcare entities
  • Maintain and update standard forms, templates, and documentation to support efficiency and consistency across matters
  • Accurately record and maintain billable time in accordance with Firm policies
  • Assist in the preparation and filing of corporate documents, including entity formations, amendments, mergers, and dissolutions
  • Draft initial versions of transactional documents, including closing certificates, board and stockholder resolutions, and other ancillary documents related to corporate transactions, including M&A
  • Conduct and support due diligence efforts, including organizing, reviewing, and summarizing contracts and corporate records
  • Manage all aspects of transaction execution, including maintaining closing checklists, coordinating signature pages, and supporting closing logistics
  • Organize and maintain corporate records, including minute books, stock records, and other governance documentation
  • Track key dates, deadlines, and filing requirements to ensure timely compliance with applicable regulations
  • Coordinate with clients, attorneys, government agencies, and third-party service providers
  • Assist with post-closing matters, including preparation of closing binders and organization of executed documents
  • Handle additional responsibilities as assigned by Firm leadership
