Position Overview Flagship Pioneering has a new and exciting opportunity for a high-energy, detail-oriented Corporate Paralegal to join its fast-paced, dynamic legal team. This role will report to the Senior Corporate Paralegal and work closely with members of the legal team to support Flagship’s corporate legal function across its growing portfolio of companies. The Corporate Paralegal will assist with a range of corporate matters, including financings, corporate governance, equity compensation, and general corporate maintenance for Flagship and its cutting-edge, high-growth companies. This includes providing support on a variety of transactions and day-to-day corporate activities across both private and public companies—such as preparing and organizing documentation for financings; supporting equity compensation processes; and maintaining corporate records and governance materials. This role will also have touchpoints in the Finance, Human Resources, Communications and Flagship Labs groups.

Requirements

  • Bachelor’s degree required
  • 2–5 years of corporate paralegal experience (law firm and/or in-house)
  • Comfortable working in an entrepreneurial environment with compressed timelines and evolving priorities.
  • Strong priority-setting, organizational and communication skills
  • Exceptional attention to detail and are highly organized
  • Ability to prioritize and manage multiple deadlines in a fast-paced, high-volume environment with competing demands.
  • Excellent written and verbal communication skills.
  • Willingness to use and adopt AI tools (ChatGPT, Claude, GC AI) to enhance legal workflows, as well as core legal and business platforms (iManage, SharePoint, Carta, Microsoft Office).

  • Experience with governance, entity management, or equity administration preferred

Responsibilities

  • Assist in preparation of board and stockholder consents
  • Maintain board records, minutes, and governance documentation
  • Support recurring board cycles across portfolio companies
  • Track and organize signature pages; prepare closing binders
  • Support equity grant processing and updates in Carta or similar platforms
  • Assist with coordination across HR and Finance on equity-related matters
  • Respond to routine equity-related inquiries
  • Maintain and track corporate records, minute books, and entity documentation
  • Support entity formations, dissolutions, and ongoing maintenance
  • Track officer and director information across entities
  • Assist with international entity management
  • Support development of governance processes and templates
  • Assist with compliance initiatives and cross-functional projects
  • Contribute to building scalable governance infrastructure
  • Assist with the design and development of AI agentic support for routine corporate matters
  • Provide backup and surge support to other paralegals on the Flagship legal team
