About The Position

Booking Holdings is seeking an experienced Corporate Governance Paralegal to collaborate with securities, financing, and corporate governance attorneys on significant matters. This role will manage key workstreams in governance, securities law, financing, and board-related activities, contributing to the company's mission of making travel easier. The paralegal will interact with senior executives, various departments, and internal/external counsel globally. This position is part of a high-achieving team focused on travel and dining initiatives and operates under a hybrid work model, requiring two days in the office. The role can be based in either the Norwalk, CT or New York, NY office.

Requirements

  • Bachelor's Degree
  • 6+ years of corporate paralegal experience
  • Experience in a publicly traded company is strongly preferred
  • Flawless written and verbal communication abilities
  • Self-starter mentality with a focus on adding value and reducing administrative friction
  • Detailed knowledge of the legal department, with a general understanding of Company operations, organization, and procedures
  • Attention to detail
  • Demonstrated experience with SEC filing requirements, including Section 16 filings and the annual proxy process
  • Advanced knowledge of corporate secretarial functions, including drafting board resolutions, maintaining minute books, and managing domestic/international subsidiary compliance
  • Experience with SEC filing and board management tools

Nice To Haves

  • Knowledge of the Google Suite is a plus

Responsibilities

  • Collaborate with the Legal team on SEC filings and maintain organized, up-to-date corporate governance policies.
  • Manage board of directors and committee meeting agendas, material reviews, distributions, and administrative tasks.
  • Lead records management for board and committee materials.
  • Manage workstreams for board meetings and the annual stockholders’ meeting.
  • Facilitate internal subsidiary management and corporate governance, including intercompany transactions, subsidiary formation, corporate governance filings (e.g., statutory audits), drafting resolutions, maintaining corporate minute books, and records management.
  • Support the team with the Company's Insider Trading Policy, Section 16 filings, and corporate delegations of authority.
  • Navigate cross-border requirements for the execution and certification of corporate documents and filings.
  • Assist with financing or similar transactions and projects as needed.
  • Perform additional corporate paralegal responsibilities and ad hoc projects with the Legal team.
