Corporate Development Manager - Medical Aesthetics

SkinSpirit•Palo Alto, CA
•$140,000 - $170,000•Remote

About The Position

The Corporate Development Manager will own the financial evaluation and execution of two types of transactions: acquisitions of existing medspa practices generating $2–20M in annual revenue, and "acqui-hire" transactions that bring independent providers into our new and existing clinics. You will be the primary analytical engine behind every deal, from first look through close, determining whether an opportunity is attractive, building a defensible view of adjusted EBITDA or provider-level economics, and supporting leadership in valuation and negotiation discussions with practice owners and providers. This is a hands-on role for someone who enjoys both the rigor of financial analysis and the pace of live deals.

Requirements

  • 3–5 years of experience in private equity, investment banking, transaction advisory/quality of earnings, corporate development, or a comparable finance role
  • Hands-on experience building adjusted EBITDA analyses and valuation models for small and lower-middle-market businesses (roughly $2–10M in revenue)
  • Advanced Excel and financial modeling skills
  • Ability to evaluate individual provider economics and client portability, not just practice-level financials
  • Ability to work with incomplete or messy financial data and turn it into clear, defensible conclusions
  • Strong written and verbal communication skills, including the ability to present recommendations to senior leadership
  • High degree of ownership, judgment, and ability to manage multiple deals at once

Nice To Haves

  • Private equity experience, particularly with add-on acquisitions or buy-and-build strategies
  • Experience in healthcare services, multi-site consumer services, or franchise businesses; medical aesthetics experience is a strong plus
  • Familiarity with the salon-suite model or experience recruiting and valuing producer-based talent (e.g., providers, advisors, stylists)
  • Undergraduate degree in Business, Accounting, or Finance preferred
  • MBA a plus
  • Familiarity with healthcare transaction considerations such as MSO structures and corporate practice of medicine rules

Responsibilities

  • Review inbound and outbound opportunities, quickly assessing fit against our acquisition criteria (market, service mix, provider base, growth potential, and financial profile)
  • Prepare concise investment memos and recommendations for leadership on whether to pursue, pass, or restructure a deal
  • Build and maintain a pipeline tracker and deal database
  • Analyze practice financials, including P&Ls, tax returns, bank statements, and point-of-sale/EMR data, often from owners with limited financial reporting
  • Build adjusted EBITDA bridges, normalizing for owner compensation, medical director arrangements, provider compensation, one-time and personal expenses, related-party rent, and non-recurring revenue
  • Analyze key operating metrics such as revenue by service line, provider productivity, patient retention and rebooking rates, membership revenue, product and injectable margins, and customer concentration
  • Coordinate with third-party quality-of-earnings providers, accountants, and attorneys as needed
  • Develop valuation models using EBITDA multiples, comparable transactions, and DCF where appropriate
  • Model deal structures including cash at close, seller notes, earnouts, rollover equity, and provider retention incentives
  • Prepare materials to support leadership in valuation discussions and negotiations with sellers
  • Identify and evaluate independent injectors, aestheticians, and other providers operating in salon suites or similar settings as candidates to join our clinics
  • Assess each provider's book of business, including revenue, service mix, client count, rebooking and retention rates, pricing, and how much of the client base is likely to follow them
  • Build provider-level economic models comparing their current earnings to our compensation structure, and project the incremental revenue and contribution to the receiving clinic
  • Structure offers such as sign-on or book-of-business payments, earnouts tied to client retention, guaranteed compensation periods, and retention incentives
  • Verify licensing, scope of practice, and supervision requirements, and assess fit with the receiving clinic's capacity, service menu, and team
  • Partner with clinic leadership on onboarding and client transition plans, and track retention and productivity against the original business case
  • Manage the financial diligence process, including data requests, document review, and issue tracking
  • Help identify operational, regulatory, and integration risks (e.g., provider licensing and scope of practice, medical director and ownership structure requirements, key-person dependence)
  • Support LOI drafting and the path to close alongside legal counsel
  • Track acquired practice and acqui-hired provider performance against the investment case
  • Help refine acquisition criteria and underwriting assumptions based on results
