About The Position

Fluidstack is building civilization-scale infrastructure for AI, focusing on delivering 10 to 100s of GWs of compute faster than anyone else. This involves acquiring power, designing and building data centers, and operating them. The company emphasizes speed, scale, and a deep commitment to ensuring AI expands human freedom. The Strategic Finance Team is responsible for raising capital at a scale rivaling national infrastructure budgets and inventing novel financial instruments tailored to the unique needs of AI infrastructure. They operate with "insane urgency" and "reason from first principles" to close landmark transactions on aggressive timelines.

Requirements

  • Led deals from a principal seat with full ownership of capital and outcome (e.g., private equity, growth equity, special situations, infrastructure or energy investing, or corporate development acquiring supply chain).
  • Served as the primary deal owner, directly engaging with principals and their counsel, and accountable for the deal's outcome.
  • Successfully closed deals with no clear comparables, independently selecting instruments, governance structures, and downside protections, and building models to address structural questions.
  • Demonstrated ability to kill deals that appeared favorable on paper, with clear reasoning for such decisions prior to capital commitment.
  • Simultaneously managed strategic and financial objectives, making independent calls when they conflicted.
  • Negotiated governance, control, and protective terms with principals and their counsel, understanding the value of different negotiation points.
  • Authored decision-driving memos that have influenced CEOs, investment committees, or boards to commit to transactions.

Responsibilities

  • Own the corporate development pipeline end to end, determining which situations are worth pursuing, the appropriate financial instruments, and which opportunities to decline.
  • Structure unique deals, including joint ventures, minority stakes with governance rights, convertible and warrant-linked instruments, and opportunistic control acquisitions.
  • Underwrite opportunities based on both strategic (power, land, supply chain, capability) and financial objectives, making critical decisions when these diverge.
  • Test all opportunities against the critical path of the build, informing decisions on what to buy, build, or invest in.
  • Negotiate directly with principals and their counsel on bespoke deal terms, including governance and control rights, exclusivity, offtake commitments, anti-dilution, information and board rights, and exit mechanics.
  • Integrate deals into the company by aligning the CEO and legal teams on commitments and informing relevant teams (power, strategic sourcing, infrastructure) about the impact on their plans, ensuring a clean handover at closing.
