We are seeking a proactive, business-minded Corporate Counsel who thrives in a fast-paced, entrepreneurial environment. This role will serve as the organization's primary in-house legal advisor, reporting to the CFO and partnering closely with CEO/Executive leadership to provide practical, solutions-oriented counsel that enables strategic initiatives while effectively managing legal risk. The Corporate Counsel will provide legal advice and strategic counsel across a broad range of matters, including commercial contracts, corporate governance, intellectual property, employment, nonprofit compliance, media law, technology, marketing, and regulatory issues. PragerU will continue to utilize outside counsel for specialized matters, including significant litigation, employment disputes, tax, and complex intellectual property issues. Ideal candidates come from mid-size private companies, media companies, SAAS companies, education/publishing companies. Not the best fit if most of your experience is litigation boutiques, giant law firms, career government lawyers. We don’t want over-lawyering, slow decisions, unnecessary process, or needing to rewrite every single agreement.

Requirements

  • Juris Doctor (J.D.) from an accredited law school
  • Active membership in good standing with at least one U.S. state bar
  • 8-12 years of legal experience (with meaningful in-house experience)
  • Demonstrated experience drafting, negotiating, and managing a broad range of commercial agreements
  • Experience advising executives and business leaders on legal risk and strategic decision-making
  • Excellent legal research, writing, negotiation, and communication skills
  • Strong business judgment with a practical, solutions-oriented approach
  • Ability to manage multiple priorities independently in a fast-paced environment
  • High degree of integrity, professionalism, and discretion
  • Background/familiarity with media/publishing

Responsibilities

  • Serve as the organization's primary legal advisor on day-to-day business operations
  • Draft, review, negotiate, and manage a wide variety of commercial agreements, including: Vendor and service agreements, Licensing agreements, Sponsorship and partnership agreements, Independent contractor and consulting agreements, Production and talent agreements, Technology and SaaS agreements
  • Provide strategic legal guidance to executive leadership on operational, business, and organizational initiatives
  • Advise on intellectual property matters, including copyright, trademark, licensing, content usage, and protection of company assets (fair use, AI, etc.)
  • Counsel internal teams on digital media, advertising, marketing, social media, artificial intelligence, and emerging legal issues
  • Partner with Human Resources on employment-related policies, compliance, workplace investigations, and employee relations, coordinating with outside employment counsel when appropriate
  • Support nonprofit governance, corporate compliance, board matters, and organizational policies
  • Monitor changes in federal, state, and local laws that may impact the organization and recommend practical compliance solutions
  • Develop and maintain legal templates, internal policies, and compliance programs that improve operational efficiency
  • Manage relationships with outside counsel, including coordinating specialized legal matters involving litigation, employment, tax, and complex intellectual property.
  • Deliver legal training and guidance to leadership and employees on relevant legal and compliance topics.
