Corporate Counsel, OFC
About The Position
MeriCal is seeking a Corporate Counsel to lead its internal legal function and overall legal strategy. This is a highly autonomous, cross-functional role where the counsel will serve as a trusted advisor to the executive team and key department heads. The role requires a proactive individual who can partner across the business, manage risk, and enable growth. The ideal candidate will be able to identify when to handle issues in-house and when to strategically engage outside counsel. This position involves a blend of legal expertise and business acumen, focusing on complex problem-solving, influencing business strategy, and balancing legal safeguards with commercial growth.
Requirements
- A Juris Doctor (JD) degree from an accredited law school.
- Active membership in good standing with the State Bar.
- 3 to 5+ years of corporate legal experience (ideally combining law firm training with in-house exposure).
- Experience in manufacturing, dietary supplements, food/beverage, or life sciences is required.
- Demonstrates a "can-do" attitude, with versatility and business acumen to seamlessly shift from drafting routine legal documents to advising executive leadership on complex legal, compliance, and risk matters.
- Resourcefulness and curiosity, with the ability to research and find answers to complex questions.
- Comfortable saying "I don't know the answer to that yet, but I know exactly how to find out."
Responsibilities
- Provide practical, business-oriented legal guidance to leaders across IT, HR, Supply Chain, Operations, Quality, and R&D to enable growth while managing risk.
- Collaborate closely with internal teams to understand products, history, and operational workflows to inform legal assessments.
- Act as a project manager to identify when to tackle issues in-house and when to strategically engage, brief, and manage cost-effective outside counsel.
- Directly review, draft, and negotiate a high volume of commercial contracts, including vendor agreements, NDAs, MSAs, and other business documents.
- Modernize the contracting process, templates, and legal operations to keep pace with a fast-moving business.
- Partner with regulatory and quality teams to monitor compliance across a complex manufacturing landscape, including FDA guidelines, FTC advertising rules, Prop 65, SB343, and emerging international labeling standards.
- Oversee and advise on the intellectual property portfolio, including trademarks, patents, and trade secrets, and manage specialized IP counsel for filings and litigation.
- Assist in maintaining corporate governance, designing and reviewing internal compliance programs, and updating corporate policies.
- Partner with IT to define legal risk thresholds, review data-handling disclosures, and refine incident response and breach-notification procedures.
