About The Position

This position is for a transactional attorney with strong commercial and some corporate law background. The position will report to the Associate General Counsel and will be primarily responsible for the preparation, negotiation and control of most corporate contracts; assist with some compliance matters; and support the company’s mergers and acquisition activity, including managing and conducting due diligence, contract review and negotiation and conducting closings, as necessary.

Must be able to read, analyze and interpret complex documents
Must possess a wide degree of creativity and latitude
Must have good communication and interpersonal skills
Must be a self-starter with a good business sense and a sense of urgency, honesty and fairness
Must have the ability to respond effectively to the most sensitive inquiries or complaints
Must be a graduate of an accredited law school
Must be admitted to the New York state bar
4 to 6 years of experience in a corporate or law firm setting
Must have experience with a variety of contract types (e.g. commercial, real estate, and distributor/rep)

Nice To Haves

Second Language, Spanish and / or Mandarin is a plus

Responsibilities

Prepares and/or reviews contracts involving various substantive areas of law: including, but not limited to, commercial, real estate, compliance, licensing and employment documents.
Provides corporate governance advice to the organization, including preparation of policies.
Assist in the company’s acquisition activity (primarily due diligence)
Enhance the effectiveness of the legal department through the participation in staff meetings, training, and the positive interaction with internal and external clients
Understanding of the company’s business strategy
Responsible for foreseeing and protecting the company against legal risks
