About The Position

We’re seeking a Corporate Counsel to provide advice and counsel to the North American business on a variety of commercial transactions and day-to-day operational matters. You’ll join an innovative team, who is highly collaborative and touches all other departments through various legal matters. Requirements

  • Juris Doctorate (JD) from an accredited law school and a state bar member in good standing, Virginia preferred.
  • 2-4 years of legal experience, with compensation commensurate with experience.
  • Demonstrated contract management experience; some compliance and risk experience preferred.
  • A strong willingness and ability to learn new areas of the law from other senior counsel in the Legal Team.
  • Excellent communication skills, both oral and written, with strong analytical skills.
  • Ability to work independently, prioritize workload, handle multiple tasks simultaneously, and exercise good judgment.

Responsibilities

  • Provide generalist advice and counsel to the North American business on legal matters such as, but not limited to, legal interpretation of key concession, corporate, finance and insurance documents, HR and other corporate policies, and corporate governance, in Virginia, Maryland and the US.
  • Draft, red-line, negotiate and review commercial agreements including, Master Service Agreements (MSAs), consulting agreements, vendor agreements and Non-Disclosure Agreements (NDAs).
  • Assist the procurement team and associated business stakeholders with legal aspects of Request for Proposal (RFP) and Request for Quote (RFQ) processes.
  • Assist legal team members on project and business development related legal matters arising out of Transurban’s new business opportunities in North America.
  • Support complex litigation matters relating to our business operations and management.
  • Manage day-to-day compliance matters for the North American business.
