About The Position

This Corporate Counsel role centers on managing a high volume of complex transactional matters, including drafting, reviewing, and negotiating sophisticated contracts and deal documents. The position requires providing strategic, preventative legal guidance on a wide range of business transactions, ensuring that agreements, notices, plans, and other legal instruments align with organizational goals while minimizing legal risk.

Requirements

  • A J.D. degree from a highly regarded ABA-approved law school, and an active member in good standing of the California Bar
  • At least 3 years’ experience as a transactional attorney, preferably at a large law firm, with experience in Real Estate a plus.
  • Strong organizational, analytical, and communication skills to express complex legal matters in clear, concise, business-friendly language with a solid record of effective cross-group collaboration
  • The ability to recognize and weigh business and legal risks, think strategically and advance creative, sound practical solutions in the context of business goals and deadlines
  • The ability to collaborate with the team and bring a positive can-do attitude to your work
  • The ability to deliver practical advice that the client can act on
  • A flexible mindset and ability to work with many internal and external clients
  • Strong contract negotiation skills the ability to draft in plain English, with attention to detail and practical concise contract issue solutions
  • High level of skill using software tools like Microsoft Office, Word, and Teams, and Adobe Acrobat

Nice To Haves

  • At least 3 years’ experience as a transactional attorney, preferably at a large law firm, with experience in Real Estate a plus.

Responsibilities

  • Prepares and effectively negotiate complex legal contracts and transaction documents of all types with a focus on general commercial contracts, commercial leasing, and real estate acquisitions and dispositions.
  • Research and write legal memoranda, opinions, administrative filings and other communications regarding complex legal issues that are appropriately accurate, comprehensive, concise and understandable.
  • Efficiently handles multiple complex matters concurrently.
  • Must have the ability to confront conflict and difficult issues in a professional, diplomatic and proactive manner and aggressively tackle new responsibilities and initiatives, sometimes without direct supervision from OGC management.
  • Ability to exercise informed and considered judgment, properly prioritize and timely complete assigned matters, and maintain appropriate communication, including maintaining the attorney client privilege, with business units and OGC management.
  • Corporate Counsel must have knowledge of and protect the organization’s intellectual property, trade secrets, and confidential and proprietary information.
