About The Position

Corporate Counsel II What you will be doing: At Premier, we take pride in the business of serving patients by serving the healthcare providers who meet the needs of those patients, in every area of their care. As a group purchasing organization (GPO), we negotiate contracts for goods and services our members use daily, and we work hard to make sure our offerings to members are highly competitive. In this role reporting to the Associate General Counsel, you will be responsible for providing legal support and day-to-day contracting needs for your assigned business units, and various other transactional projects. This position serves as the primary point of contact for business clients and drafts, negotiates, reviews, and approves (within specified guidelines) GPO member and supplier agreements channel partner agreements, consulting agreements, confidentiality agreements and various other documents. Additional responsibilities may include conducting training sessions for business units on relevant legal matters, and counseling business teams on regulatory compliance with an emphasis on healthcare regulations. The person in this role works independently on moderately complex legal matters with limited direction and assumes ownership of day-to-day assignments and provides support on projects. This position requires work in a fast-paced and business-competitive GPO environment and interacts with various business teams and their management to provide legal guidance that is clear, actionable, and timely. This position interacts with senior management, Premier’s members, regulatory agencies, suppliers of goods and services to Premier’s members, business partners in various ventures and outside counsel on assigned matters.

Requirements

  • Years of Applicable Experience - 7 or more years
  • Juris Doctorate (Required)
  • Active member of a state bar
  • Have demonstrated ability to work independently and accurately under tight deadlines with strong attention to detail.
  • Strong organizational and time management skills, sound judgement, and the ability to work collaboratively with professionals having various backgrounds, including attorneys and representatives of large health systems and corporations.
  • Must be goal oriented with strong desire to meet and exceed expectations.
  • Superior analytical and writing skills, coupled with good business and financial acumen.
  • Extensive knowledge of commercial contract law and transactional experience; understanding of healthcare regulatory law.
  • Ability to respond to inquiries from federal and state regulatory agencies, customers, and the business community.
  • Strong work ethic and sense of urgency.
  • Ability to act quickly and hit the ground running.

Nice To Haves

  • 6-9 years strong transactional experience in drafting and reviewing commercial agreements and negotiating contracts.
  • Experience analyzing matters involving the federal Anti-Kickback Statute and a robust understanding of healthcare law compliance is highly preferred; knowledge of basic antitrust principles would be an asset.
  • Juris Doctor from an accredited law school

Responsibilities

  • Independently draft, negotiate and review contracts and amendments relating to membership and participation in Premier GPOs by (i) non-acute healthcare GPO members, including long term care, nursing homes, senior living facilities and physician practices, and (ii) suppliers of facilities services to hospitals and other acute care GPO members, in each case to identify and address potential regulatory and contractual issues that might affect business implementation of the contractual arrangements.
  • Advise business unit leaders on contract interpretation and contracting parties’ legal obligations, with input from senior attorneys; and prepare legal communications.
  • Collaborate with other attorneys to cover other service line contracting needs, as necessary.
  • Assist Associate General Counsel, Deputy General Counsel and General Counsel with transactional matters, acquisition integration, reviewing marketing collateral or public relations materials, any special projects as needed.
  • Support litigation team in management and resolution of disputes, including preparation litigation holds, responding to subpoenas and government inquiries, and drafting and reviewing claims, motions and opinions.
  • Collaborate internally to respond to contract breach notices and terminations; assist with revenue recovery initiatives.
  • Research legal issues and keep current with case law and court opinions.
  • Develop and contribute to commonly used templates for GPO contracts.
  • Respond to inquiries from GPO members and suppliers.
