Job Summary: This position will play a key role in supporting the General Counsel in the management, oversight, and execution of enterprise-wide commercial contracting and transactional matters. The successful candidate will serve as a primary legal resource for a broad range of business units and corporate functions, partnering closely with internal stakeholders to facilitate business objectives while appropriately managing legal and regulatory risk. The ideal candidate will possess substantial experience drafting, reviewing, negotiating, and advising on complex commercial agreements, together with strong business judgment, exceptional attention to detail, and the ability to operate independently in a fast-paced environment. This role offers meaningful exposure to healthcare, aviation, and energy industries, as well as domestic and international business operations. The position requires the ability to exercise independent legal judgment and discretion while providing practical, solution-oriented legal advice. This position may also provide additional legal support and assistance on strategic initiatives and special projects at the direction of the General Counsel.

Requirements

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active license to practice law in at least one U.S. jurisdiction.
  • Five (5) to ten (10) years+ of relevant legal experience in a law firm, corporate legal department, or a combination thereof.
  • Demonstrated experience drafting, reviewing, negotiating, and advising on a wide range of commercial contracts and business transactions.
  • Strong legal writing, contract drafting, negotiation, and analytical skills.
  • Strong business judgment and ability to balance legal risk with operational and commercial objectives.
  • Exceptional attention to detail and accuracy.
  • Excellent written, verbal, and interpersonal communication skills.
  • Ability to manage multiple priorities and work independently in a dynamic and fast-paced environment.
  • Demonstrated maturity, professionalism, sound judgment, and executive presence.
  • This position is designated Safety Sensitive for purposes of the Arizona Medical Marijuana Act.

Nice To Haves

  • Experience supporting healthcare, aviation, energy, transportation, or other highly regulated industries.

Responsibilities

  • Draft, review, negotiate, and manage a broad range of commercial agreements, including: Corporate strategic transaction agreements, Air medical provider agreements, Offshore oil and gas transportation agreements, Customer and client agreements, Healthcare-related agreements and business associate agreements, Insurance network provider agreements, Aircraft leasing, purchase and sale agreements, Aircraft maintenance, repair and overhaul (MRO) agreements, Vendor and procurement agreements, Master services agreements, Professional services agreements, Confidentiality and non-disclosure agreements, Real estate leasing and facilities agreements, Software and technology agreements
  • Provide practical, business-oriented legal advice regarding contractual rights, obligations, risks, and dispute resolution.
  • Partner with business leaders and corporate functions, including operations, finance, procurement, information technology, compliance, human resources, revenue cycle, and executive leadership, to support business initiatives and transactions.
  • Identify legal, operational, regulatory, and financial risks associated with proposed contracts and transactions and develop practical solutions to mitigate such risks.
  • Support the negotiation, structuring, and implementation of strategic business transactions, partnerships, joint ventures, acquisitions, divestitures, and other corporate initiatives.
  • Assist with legal due diligence and transactional documentation related to mergers, acquisitions, financings, and other corporate transactions.
  • Develop and maintain contract templates, negotiation playbooks, and standard processes designed to improve contract efficiency, consistency, and risk management.
  • Advise business stakeholders regarding contract interpretation, performance issues, amendments, renewals, and termination rights.
  • Support the resolution of contractual disputes and pre-litigation matters.
  • Conduct legal research and provide guidance regarding applicable federal, state, and international laws affecting company operations and commercial transactions.
  • Coordinate with and manage outside counsel as necessary.
  • Assist with corporate governance, legal operations, compliance initiatives, policy development, and special projects as assigned by the General Counsel.
  • Perform other duties and responsibilities as assigned.
