About The Position

The Corporate Counsel role provides legal support across regulatory compliance, commercial, and operational matters for JERA Americas’ energy assets. The position is embedded within the legal function and reports to the Deputy General Counsel, supporting day-to-day commercial, plant operations and regulatory obligations. The position is suited for a junior or mid-level lawyer with in-house experience possessing strong regulatory and commercial knowledge, business judgment, and the ability to operate effectively in a fast-paced, operations-focused environment.

Requirements

  • Law degree and licensed to practice in Texas
  • Strong credentials from an accredited law school
  • Minimum of 2-5 years of in-house experience for an energy company (retail or wholesale gas or electric); or significant experience at a nationally recognized law firm
  • Knowledge and understanding of the industry’s regulations and best practices
  • Hands-on experience with a variety of reporting operations and procedures

Responsibilities

  • Review, negotiate and draft complex commodity trading agreements, including NAESBs, ISDAs, applicable annexes/schedules, and long form confirmations
  • Support operations for existing power assets (thermal and renewable) including but not limited to interpretation of contracts including PPAs, O&M and LTSA
  • Provide support for compliance and regulatory matters as required including but not limited to regulatory filings; FERC, CFTC, ISO/RTO, PUC and market monitor inquiries related to plant assets
  • Support negotiation of services agreements, vendor terms and conditions, purchase orders and other ancillary agreements, communication with (and notices to) third parties, and preparation of board consents
  • Review, negotiate and draft credit support documentation (guarantees, LCs, and related financial assurances)
  • Communicate effectively with all levels of the organization, including Chief Legal Officer, operations, commercial, risk and credit teams
  • Coordinate with Chief Legal Officer and external counsel on regulatory, dispute, investigative, commercial and compliance matters
