About The Position

The Corporate and Contracts Paralegal performs corporate contract, regulatory and compliance activities under the supervision of the General Counsel. Responsibilities include preparing and organizing corporate records, drafting and reviewing non-disclosure agreements, contracts and other agreements, monitoring on-going litigation, and coordinating filings. The role also supports legal research, document management, report preparation, and other legal matters as needed by the organization.

  • U.S. Citizen, U.S. Permanent Resident (Green Card holder) or asylee/refugee status as defined by 8 U.S.C. 1324b(a)(3) required.
  • ITAR requirement
  • Some positions will require current U.S. Citizenship due to contract requirements.
  • This position requires access to information that is subject to compliance with the International Traffic Arms Regulations (“ITAR”) and/or the Export Administration Regulations (“EAR”). In order to comply with the requirements of the ITAR and/or the EAR, applicants will be asked to provide specific documentation to verify U.S. person status under the ITAR and the EAR. A “U.S. person” according to their definition is a U.S. citizen, U.S. lawful permanent resident (green card holder), or protected individual such as a refugee, or asylee. See 22 CFR 120.15.

Nice To Haves

  • Bachelor’s degree in Paralegal Studies, Legal Studies, Business Administration, or a related field preferred.
  • Paralegal certificate from an ABA-approved program or nationally recognized paralegal certification, such as NALA Certified Paralegal (CP) or NFPA Registered Paralegal (RP), preferred.
  • Experience in the aviation, aerospace, or defense industry preferred.
  • Experience supporting corporate governance, contracts, legal documentation, regulatory compliance, and/or transactional matters preferred.

Responsibilities

  • Prepare first drafts of routine agreements using approved templates and track redlines and revisions.
  • Review, prepare, and negotiate non-disclosure agreements against company standards, escalating non-standard terms to the General Counsel as needed.
  • Review customer and supplier agreements, purchase orders, terms and conditions, and quality agreements, including flow-down provisions using approved templates and track redlines and revisions.
  • Monitor key dates, including renewals, terminations, and notice deadlines, and alert stakeholders in advance.
  • Maintain standard contract templates and negotiation playbooks.
  • Assist with the preparation and organization of board and committee materials, corporate minutes, and resolutions.
  • Maintain corporate records for the company and its subsidiaries, including annual reports, state filings, foreign qualifications, and registered agent relationships.
  • Maintain the delegation-of-authority matrix and powers of attorney, making sure agreements are executed by authorized signers.
  • Support M&A and other corporate transactions, including due diligence, data room organization, closing checklists, and signature packets.
  • Maintain the company's contract repository, ensuring agreements are accurately logged, organized, and retrievable, in accordance with applicable retention requirements.
  • Coordinate internal approvals and manage the signature process, including e-signature workflows.
  • Maintain confidentiality and ensure appropriate handling of sensitive, confidential, and privileged information.
  • Assist with legal research, document preparation, correspondence, and other general Legal Department support.
  • Support Legal Department projects and administrative initiatives as assigned.
  • Track certificates of insurance and support compliance reporting, such as conflict minerals, in coordination with trade compliance and other internal teams.
  • Manage subpoenas, legal holds, and document collection, and coordinate with outside counsel on disputes.
  • Track outside counsel engagements, review invoices, and support legal budget monitoring.
