Responsibilities

  • Maintain corporate entity management database on Athenian platform covering active entities, foreign qualifications, multi-member entities, franchise taxes, UCC liens, org charts, dissolved/sold entities, renewal tracking, property ownership and taxes, development matrix, and required licenses.
  • Oversee renewals, foreign qualifications, business license registrations, and updates to authorities with changes in officers or addresses.
  • Manage property and franchise tax filings by coordinating with Accounting on payment obligations.
  • Coordinate with License Comply to identify and maintain license obligations and run UCC and lien searches.
  • Work with InCorp on entity creation, filings, renewals, reconciliations, and registered agent notices.
  • Create and maintain the Entity Management Manual; support General Counsel on strategy and process improvements.
  • Support Corporate Transparency Act compliance including CTA analysis, training, disclosures, and outside counsel coordination.
  • Assist with corporate governance documents preparation, review, and routing for signature.
  • Perform audits and invoice reconciliations of service providers.
  • Report entities monthly to AB CarVal and complete W9s as needed.
  • Manage EINs and IRS filings such as 8822(b)s and status changes.
  • Identify and mitigate compliance risks and stay current on legal and regulatory updates.
  • Coordinate with Simplifile for UCC and other e-filings, user management, and adding counties.
  • Support land team with recording real estate documents and provide Simplifile training.
  • Work with county clerks on paper filings, ensuring compliance, documentation accuracy, proper fees, and assist with manual fee verification for mail-in recordings.
