Take-Two Interactive Software, Inc.’s Legal Department, which supports Take-Two’s network of companies, including Rockstar Games, 2K and Zynga, is seeking a Corporate Paralegal to assist with day-to-day corporate requirements, based in their office in New York, New York. The paralegal will focus on corporate governance matters and the maintenance of corporate records, including contracts and corporate documents, but will also contribute in other areas as needed by the legal team and the organization. The paralegal will work with legal and non-legal personnel across multiple departments and report to the Vice President and Counsel.

Requirements

  • Bachelor’s degree
  • Ideal candidate is personable, open to learning, collaborates well with others and has a positive attitude.
  • Ideally 1 to 3 years of experience working as a Corporate Paralegal in a large law firm (preferred) or in-house. Consideration may be given to exceptional candidates without such prior experience.
  • Experience of managing a high volume of detail-oriented work.
  • Excellent attention to detail, strong written and verbal communication skills, thorough follow-up and strong administrative and problem-solving skills.
  • Team-player who can multi-task and work well under pressure, with constantly changing priorities.
  • Perform technical and clerical tasks that require accuracy and strong organizational skills.
  • Must be Internet savvy, computer proficient and able to quickly learn new software applications related to document management; proficient with MS Office (Word, Excel, PowerPoint).
  • Professionally interface with all levels of the organization, clients and vendors.
  • Strong academic background, leadership ability and time management skills.

Responsibilities

  • Assist the legal team in the preparation and maintenance of corporate documents/materials, including corporate formation documents, board minutes, and shareholder resolutions.
  • Assist in administering the contract and document execution process, including the drafting, signature, distribution and filing of material contracts and other important corporate documents for the team.
  • Create and maintain corporate minute books, contract trackers and other corporate logs and memos.
  • Work directly with corporate services providers, outside counsel and entity management vendors to maintain legal entities, including managing state, local and international filings, such as annual maintenance filings and director appointments.
  • Responding to ad hoc requests for documentation & corporate information from members of the legal team and other non-legal personnel.
  • Work directly with the legal team and internal clients during corporate transactions and closings, including creating and managing virtual data rooms and maintaining post-closing records.
  • Assist in the preparation and management of various agreements, including NDAs, Services Agreements, and Officer Certificates, and reviewing simple facilities-type agreements.
  • Assist in the preparation of disclosure documents under US securities laws.
  • Assist the legal team with research via the Internet and other means and report research findings.
  • Brief the team on various issues and projects in progress to ensure they are kept informed of new developments.
  • Perform clerical activities: maintain files; photocopy, email, mail, and messenger documents and correspondence; process and track expense report submissions; organise appointments with notary publics for the notarization and apostilling of documents; make arrangements for meetings and travel, etc.
