We are seeking an experienced Corporate Paralegal to join our dynamic Legal team. This role will provide comprehensive support to attorneys handling a wide range of matters, including corporate governance, regulatory analysis, required annual filings, and reporting, risk management, project management, and ancillary service lines including laboratory, imaging, and virtual health. This role works closely with attorneys, compliance professionals, and business stakeholders to maintain corporate records, coordinate governance activities, and conduct legal and regulatory research related to healthcare operations. The ideal candidate is highly organized, detail-oriented, and thrives in a fast-paced environment.

Requirements

  • Bachelor’s degree or equivalent experience required.
  • Motivated, reliable, quick learner who works well under pressure and is eager to learn and be part of a growing healthcare adjacent business.
  • Minimum of 5 years of paralegal experience in corporate governance.
  • Strong communications skills, oral and written.
  • Demonstrated ability to work in a fast-paced office environment.
  • Excellent attention to detail and time management skills.
  • Strong critical thinking and problem-solving skills.
  • Demonstrated ability to exercise good judgment and maintain confidentiality.

Nice To Haves

  • NALA or NFPA certification strongly preferred.

Responsibilities

  • Prepare organizational documents (e.g. operating agreements, articles of incorporation, certificates of formation), and foreign state qualifications, for corporations, general and limited partnerships, and limited liability companies.
  • Prepare and file annual reports in states where entities are formed and/or are qualified to do business.
  • Manage large amounts of documents (electronic and paper); work with organizing, indexing and tracking files; form new entities, obtain EINs, good standing certificates and related legal documents; increasing responsibility as knowledge base expands.
  • Conduct legal research related to healthcare laws, regulations, and administrative guidance.
  • Assist with drafting, reviewing, and formatting legal documents and correspondence.
  • Organize and maintain legal department files and entity management system.
  • Coordinate with external counsel and internal departments to gather information necessary for legal projects.
