About The Position

Entrust is looking for an experienced and dynamic Corporate Attorney to join our customer-focused Identity Security legal team in Shakopee, MN. As a key member of our global legal team, you will support the sales and growth of Entrust across North America, South America, and globally. This will be a hybrid role based out of Entrust’s Shakopee, MN, headquarters, working closely with sales, partnerships, and other legal & compliance team members and cross-functional stakeholders. This role is perfect for a self-starter who thrives in a fast-paced, always evolving, collaborative environment while partnering with diverse teams, to support the sale of cutting-edge AI-powered identity verification solutions. Not only will this role be pivotal in supporting the Americas Sales team for our Identity Security segment, a key focus of the role will also be advising on and negotiating complex strategic partner agreements, such as OEM agreements and other non-standard commercial agreements. Requirements

• JD from an accredited law school.
• Must be authorized and licensed to practice law in at least one state (preferably MN).
• Minimum five years’ of relevant post qualified experience, with at least 3 years in an in-house corporate environment at a fast moving technology company.
• Must be able to lawfully work within the US and have unrestricted work authorization for US.
• Fluency in English (written and spoken) is required

Nice To Haves

• Proficiency in additional languages such as French, Spanish, Dutch, or German is a significant advantage.
• Proven experience in interpreting, drafting and negotiating complex software and cloud/managed services technology agreements, including complex partnership agreements, for varied go-to-market models across multiple jurisdictions throughout the Americas and globally.
• Exceptional communication, leadership, and organizational skills, with the ability to think strategically and give practical and business-oriented advice.
• Superior prioritization skills to efficiently manage a large volume and variety of commercial transactions in a fast-paced global environment.
• Approachability, adaptability and comfort dealing with uncertain and ambiguous situations, with a creative problem-solving mindset and ability to work with cross-functional teams.

Responsibilities

• Draft, review and negotiate a wide variety of commercial contracts in support of Entrust’s Identity Security segment in the Americas and globally, including software and cloud-based agreements, complex partner agreements (such as OEM, MSP, Reseller, etc.), professional services agreements, data protection agreements and other technology related agreements in line with corporate policies and risk tolerance and advise executive management on deal risk reviews;
• Support strategic partnerships and go-to-market models, including negotiations with system integrators, managed service providers, and other commercially significant partnerships;
• Review and advise the business on complex and high value government and private tenders and provide legal support to the business in responding to RFPs, RFQs;
• Provide legal support and guidance to the global organization on a broad range of other transactional, regulatory, compliance and ad-hoc matters as required;
• Lead legal team priority projects as may be assigned from time to time while effectively collaborating with other business and legal colleagues;
• Work collaboratively across legal, sales, product, finance, procurement, compliance, information security, and other teams to coordinate resources and resolve issues in complex negotiations.;
• Develop a comprehensive understanding of the company’s business, products, and business practices in order to best serve the business;
• Maintain high visibility within the business and gain the trust of senior management; and
• Work in collaboration with other in-house attorneys located globally and outside counsel.
