About The Position
IPX Power is seeking a corporate attorney to join our legal team and report directly to the General Counsel. This attorney will support enterprise level corporate matters, corporate governance, entity management, and other strategic corporate initiatives including mergers and acquisitions. The position offers significant exposure to senior leadership and the opportunity to assume increasing responsibility while working closely with and receiving guidance from the legal Team.
Requirements
- J.D. from an accredited law school and active license to practice law.
- Approximately 4–7 years of relevant corporate legal experience.
- Meaningful experience supporting M&A transactions and corporate governance matters.
- Excellent drafting, analytical, organizational, and communication skills.
- Sound judgment, attention to detail, and the ability to manage multiple matters effectively.
Nice To Haves
- Experience managing paralegals and other reports is considered a plus.
Responsibilities
- Support corporate M&A transactions, including due diligence, transaction documentation, closings, and post-closing matters.
- Assist with corporate governance matters, including preparation of board and shareholder consents, resolutions, minutes, and other governance documentation.
- Support the formation, maintenance, restructuring, and dissolution of subsidiaries and other legal entities.
- Draft, review, and negotiate corporate and commercial agreements.
- Coordinate with internal business teams and outside counsel on corporate transactions and strategic initiatives.
