About The Position

Squire Patton Boggs is hiring a mid-level Associate with corporate transactional experience to join its sophisticated corporate practice and collaborative team. The position may be based in a number of the firm's U.S. offices. The associate will take on significant responsibility in complex transactional matters for key clients and work as part of a growing local and global team. Assignments may span cross-border mergers and acquisitions, private equity, debt finance, capital markets, joint ventures, strategic alliances, commercial contracts, securities offerings, and corporate governance.

Requirements

JD from an accredited law school and a strong academic record.
Admission to the State Bar for the office location for which the applicant is applying.
3–5 years of meaningful law firm experience managing mergers and acquisitions, securities, and other corporate transactional matters.
Experience in mergers and acquisitions, dispositions, auctions, carve-out transactions, joint ventures, and/or cross-border transactions.
Ability to draft purchase agreements, ancillary documents, and third-party legal opinions.
Ability to coordinate domestic and cross-border transaction teams.
Experience managing due diligence and the data room or data site.
Experience negotiating aspects of corporate transactions.
Ability to work in a team environment and exercise good judgment.
Positive, proactive, can-do attitude.
Excellent verbal and written communication and organizational skills.
Strong analytical skills.
Flexibility, composure, and ability to prioritize and handle multiple matters with competence and accuracy.
Commitment to professional ethics and client confidentiality.

Responsibilities

Advise firm clients on mergers and acquisitions, joint ventures, and other corporate transactional matters.
Manage transactions and conduct due diligence.
Assist with managing client relationships.
