About The Position
Fox Rothschild, a national law firm with approximately 1,000 attorneys founded in 1907, is seeking a Mid-Level Corporate Associate for its San Francisco office. This role is part of the Architecture, Engineering & Design Professional Firms practice. The position offers a hybrid work model, requiring three days in the San Francisco office. The firm is not open to sponsoring visas and requires candidates to be US citizens or Green Card holders.
Requirements
- 4-6 years of corporate/transactional experience with hands-on deal management
- Juris Doctor (JD) degree
- Active California bar admission
- Experience in M&A, governance, and formations
- Strong drafting and negotiation skills
- Ability to lead deal teams
- Must be a US citizen or Green Card holder
Responsibilities
- Manage M&A transactions with significant autonomy
- Handle outside general counsel matters for corporations and pass-through entities
- Draft and negotiate commercial contracts, entity formations, and financings
- Address ownership transitions and entity governance
- Work directly with partners Laura Howard, Adam Siegel, and Lori Sanders in the Architecture, Engineering & Design Professional Firms practice
Benefits
- Base salary of $230K-$250K
- Hours bonus from 1,900 billable hours
- 10% of fees collected above $10K
- Prorated compensation if joining before year-end
