About The Position

Crane ChemPharma & Energy Flow Solutions, a division of Crane Co., is seeking a Contracts Manager to support the business team in the effective review, negotiation, and management of contracts. This role is crucial for achieving business plan goals while minimizing contractual risk and liability. The Contracts Manager will also lead the site compliance program, requiring an in-depth understanding of government contracting terms, compliance, legal clauses, and risk interpretation and mitigation to ensure minimal risk and protection against liabilities for Crane.

Requirements

  • Five years of relevant experience in contracts management, contract law, or business management.
  • Specific experience in Government Contracting clauses and Compliance.
  • Demonstrated in-depth understanding of contract terms and risk management.
  • Knowledge of relevant regulations, including those administered by U.S. Departments of State, Commerce, and Treasury (ITAR, EAR, OFAC).
  • Proficient in conflict resolution, negotiations, and time management.
  • Excellent communication, interpersonal, and presentation skills.
  • Degree in Law or alternate education and contract certification.
  • Ability to obtain a US government security clearance may be required.
  • US Person status is required due to the export-controlled nature of products and data.

Nice To Haves

  • CCCM certification (Certified Commercial Contracts Manager) / CPCM certification (Certified Professional Contracts Manager) / CFCM certification (Certified Federal Contracts Manager) awarded by the National Contract Management Association (NCMA) or equivalent.

Responsibilities

  • Partner with the business to review all contracts related to Customer and Supplier agreements.
  • Review, draft, and negotiate major account agreements, consulting agreements, special licensing, non-disclosure agreements, terms & conditions, and amendments for customer orders.
  • Ensure compliance with all Crane contracts policies and procedures (e.g. CP-400, CP-102 ABC, and CP-GC Series).
  • Interface with internal legal team and outside attorneys to resolve contracts issues.
  • Participate in Crane contract risk monthly reviews.
  • Ensure compliance with all government regulations applicable to US government contracts.
  • Perform duties related to government incident evaluation and reporting.
  • Represent Crane for finalizing and negotiating terms and conditions of contracts with Customers, Suppliers, Distributors, and Sales Representatives.
  • Prepare contracts for internal review and approval, ensuring compliance with company policies and applicable laws or regulations.
  • Interpret contracts and advise business managers on contractual responsibilities, obligations, and penalties.
  • Translate complex commercial/legal scenarios into simple language and action plans for business.
  • Manage a contract tracking and archiving system for executed customer contracts and changes.
  • Develop and present contracts training to ensure understanding of key contracting topics by the customer business team.
  • Execute and continuously improve processes and procedures for customer contracts management using Crane Business System principles and tools.
  • Support group and corporate compliance initiatives at the local site level and in coordination with peers at other sites.
  • Potentially focus heavily on commercial contracts, government contracts, compliance, and/or intellectual property.
  • Perform other tasks or responsibilities as assigned by supervisor, Contracts Director, or management.
